Change of Service Address; Successors

Either party may change the designated service address by delivering written notice to the other in accordance with the methods selected above. A change shall be effective thirty (30) days after receipt of such notice unless a shorter period is agreed in writing. This designation binds the Owner and their successors, assigns, and any transferees of the Property.

Representations; Indemnity

Each party represents that it has full authority to execute this Designation and to bind the entity or person it purports to represent. Owner warrants that the information provided herein is true and correct to the best of Owner’s knowledge. Service Recipient agrees to accept service at the designated address and to promptly notify Owner of any inability to accept delivery.

To the fullest extent permitted by law, the Owner and Service Recipient shall indemnify and hold harmless each other from and against any loss, liability, or expense (including reasonable attorneys’ fees) arising from any claim that results from a breach of the representations contained in this Designation or from reliance on the designated service address, except to the extent caused by the indemnified party’s gross negligence or willful misconduct.

General Provisions

Governing Law: This Designation shall be governed by and construed in accordance with the laws of the jurisdiction in which the Property is located. Venue for disputes arising out of this Designation shall be in the appropriate state or federal court located in that jurisdiction.

Entire Agreement; Amendment: This document constitutes the entire agreement between the parties with respect to designation of the service address for the Property. Any amendment must be in writing and signed by both parties.

Severability: If any provision of this Designation is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
