REAL ESTATE SERVICE AGREEMENT RENEWAL

This Real Estate Service Agreement Renewal (the Renewal) is entered into effective as of and renews the Real Estate Services Agreement originally dated between the parties identified below concerning the Property identified in Section 1. The terms of the original agreement remain in full force except as expressly modified by this Renewal.

Either party may terminate this Renewal for convenience by providing written notice days prior to desired termination. Termination for material breach may be immediate as provided in the original agreement. Owner acknowledges that early termination may result in fees as set forth below.

9. Default; Remedies

In the event of default by either party, the non-defaulting party shall provide written notice describing the default and allow a reasonable cure period consistent with the original agreement. Remedies available to the non-defaulting party include termination, recovery of fees and costs (including reasonable attorneys' fees), and any other remedies at law or in equity.

10. Insurance; Indemnity

Broker shall maintain commercial general liability insurance and, where applicable, professional liability insurance in amounts customary for the industry. Owner agrees to maintain hazard insurance naming Broker as additional insured where required. Owner shall indemnify and hold Broker harmless from claims arising from Owner's failure to disclose material facts or to maintain required insurance.

11. Notices

All notices required or permitted under this Renewal shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice.

12. Miscellaneous

This Renewal, together with the original Real Estate Services Agreement and any prior amendments, constitutes the entire agreement between the parties with respect to the Property and supersedes all prior negotiations and agreements. This Renewal may be amended only by a writing signed by both parties. If any provision of this Renewal is held invalid, the remainder shall remain enforceable.

Governing Law: The laws of the state of shall govern this Renewal.
