Expenses, Taxes and Disbursements

Client shall reimburse Provider for all reasonable out-of-pocket expenses incurred in connection with services, including but not limited to advertising, courier, photography, staging, appraisal, title, recording, and travel. Reimbursable expenses shall be billed monthly unless otherwise agreed. Taxes, assessments, and governmental fees are the responsibility of the Client unless expressly included in a quoted fee.

Term, Termination and Cancellation

This Rate Schedule shall remain in effect for the term of the separate engagement agreement between the parties or until superseded in writing. Either party may terminate specific services upon thirty (30) days' written notice; termination does not relieve Client of payment obligations for services rendered or expenses incurred prior to termination. Early termination fees:

Default, Remedies and Indemnity

Nonpayment or material breach by Client constitutes default. Provider may suspend services, withhold funds, or pursue all legal remedies. Client shall indemnify and hold Provider harmless from claims arising from Client-provided information, Client's failure to disclose material facts, and claims arising from the property except to the extent caused by Provider's gross negligence or willful misconduct.

Limitation of Liability

Except for liability arising from Provider's gross negligence or willful misconduct, Provider's liability for any claim related to services under this Rate Schedule shall not exceed the total fees actually paid to Provider for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

Governing Law; Entire Agreement

This Rate Schedule shall be governed by the laws of the state where the property is located. This document, together with any separate engagement agreement signed by the parties, constitutes the entire understanding regarding service rates and supersedes prior rate communications. Any amendment must be in writing and signed by both parties.

Service Disclosures and Client Acknowledgements

Client acknowledges receipt of this Rate Schedule and that fees may be earned at the time of contract formation, execution of lease, or closing as specified in the engagement agreement. Client shall promptly disclose any known defects, lead-based paint, prior material damage or mold conditions affecting the property. Failure to disclose material facts may result in additional fees and/or indemnity obligations.
