MAINTENANCE, DAMAGE & REMOVAL

Maintenance Responsibility: Owner   Licensee

Removal upon Termination: Licensee shall remove signs by the Removal Date and repair any damage; failure to remove shall authorize Owner to remove at Licensee's expense, including storage and administrative costs.

LIABILITY, INDEMNITY & RISK ALLOCATION

Risk of Loss: Licensee assumes all risk of loss or damage to the signage and equipment from installation until removal, except for damage resulting from Owner's gross negligence.

Indemnity: Licensee shall defend, indemnify and hold Owner harmless from and against all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from Licensee's acts, omissions, or breach of this Agreement, except to the extent caused by Owner's gross negligence or willful misconduct.

DEFAULT, REMEDIES & TERMINATION

Default: A Party shall be in default if it materially breaches this Agreement and fails to cure within ten (10) days after written notice, except where a longer cure period is reasonable for remediation.

Remedies: Remedies for breach include termination, recovery of damages, injunctive relief, and recovery of costs and fees as allowed by law. Except for willful misconduct, the remedies provided herein are cumulative and not exclusive.

MISCELLANEOUS PROVISIONS

Entire Agreement: This Agreement, and any exhibits or attachments executed contemporaneously, constitute the entire agreement between the Parties with respect to the subject matter and supersede all prior agreements and understandings, whether written or oral.
