Lessor hereby grants to Lessee a non-exclusive leasehold right to install, maintain, operate and display signage on a sign bar located at: (the "Sign Bar"). The permitted use is strictly for exterior signage advertising Lessee's business or brands, subject to the terms and restrictions of this Agreement.

All signage design, materials, colors and mounting methods require prior written approval by Lessor, which approval shall not be unreasonably withheld but may be conditioned upon compliance with applicable codes and aesthetic standards set by Lessor.

Rent is payable in advance on or before the day of each calendar month to the Lessor at the notice address below or as otherwise designated in writing. Late payments shall incur a late fee equal to or of the delinquent amount, whichever is greater.

Installation, Permits and Maintenance

Lessee shall obtain and pay for all permits, licenses and approvals required by governmental authorities for the design, fabrication, installation, lighting and maintenance of the Sign Bar and signage. Lessee shall provide Lessor with copies of permits prior to installation.

All installations shall be performed by contractors approved by Lessor and in accordance with the approved plans. Lessee shall be responsible for all costs associated with installation, maintenance, repair and replacement of the signage and sign bar, and shall promptly correct any damage to the Premises caused by such work at Lessee's sole cost.

Insurance, Indemnity and Liability

Lessee shall procure and maintain at its expense commercial general liability insurance, including contractual liability and property damage, with minimum limits of per occurrence and shall name Lessor as additional insured. Lessee shall maintain property and installation insurance covering the Sign Bar and sign against loss or damage.

Lessee shall indemnify, defend and hold harmless Lessor from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Lessee's installation, use or maintenance of the Sign Bar or signage, except to the extent caused by the gross negligence or willful misconduct of Lessor.

Removal, Restoration and Ownership

Upon expiration or earlier termination of this Agreement, Lessee shall, at Lessee's sole expense, promptly remove the signage and related fixtures and restore the Premises to the condition existing prior to installation, reasonable wear and tear excepted. Lessee shall repair any damage resulting from removal. If Lessee fails to remove the signage within days after written demand, Lessor may remove and store or dispose of the signage at Lessee's expense.

All permanently affixed signage and installations shall remain fixtures and become the property of Lessor unless Lessor and Lessee agree in writing otherwise prior to installation.

Default and Remedies

If Lessee fails to pay rent or otherwise breaches any term of this Agreement and such failure continues for days after written notice, Lessor may pursue any remedies available at law or equity, including removal of signage and termination of this Agreement. Lessor's exercise of any remedy shall not preclude the pursuit of other remedies.

Taxes, Assessments and Utilities

Lessee shall pay any taxes, assessments or fees levied specifically upon the signage or resulting from Lessee's use of the Sign Bar. Lessee shall be responsible for costs of utilities and electricity required solely for the signage, unless otherwise agreed in writing.

Representations, Warranties and Compliance

Lessee represents and warrants that Lessee has full power and authority to enter into this Agreement and that Lessee shall comply with all applicable codes, ordinances, covenants, conditions and restrictions, and historic preservation or landlord-required standards. Lessee will not display any material that is obscene, unlawful, defamatory, or in violation of third-party rights.

Assignment and Transfer

Notices

Miscellaneous Provisions

Waiver of any provision by either party shall not be deemed a waiver of any other provision. If any provision of this Agreement is held invalid, the remaining provisions shall continue in full force and effect. Time is of the essence with respect to Lessee's obligations to obtain permits and perform installation and removal.
