Representations, Warranties and Acknowledgments

Owner represents and warrants that Owner is the lawful owner of the Property, has full authority to execute this Sign Package and to grant Broker the rights set forth herein, and that there are no material undisclosed leases, encumbrances or restrictions that would prevent performance of this Agreement.

Owner acknowledges that the placement of signage and a lockbox may expose the Property to public access and that Broker shall use commercially reasonable procedures to secure keys and access devices.

Indemnification; Insurance

Owner agrees to indemnify, defend and hold Broker and Broker's agents harmless from and against any claims, liabilities, losses or expenses arising from Owner's breach of representations in this package or from conditions on the Property except to the extent caused by Broker's gross negligence or willful misconduct. Broker shall maintain general liability insurance customary to the brokerage industry.

Default, Remedies and Termination

Material breach by either party that remains uncured for a period of 10 days after written notice shall permit the non-breaching party to pursue remedies at law or equity, including specific performance where available. Owner may terminate this Sign Package in the event Broker materially breaches and fails to cure as provided herein.

Governing Law; Entire Agreement; Severability

This Sign Package shall be governed by the laws of the state where the Property is located. This document, together with any referenced listing agreement, constitutes the entire agreement between the parties concerning the matters addressed herein. If any provision is found unenforceable, the remaining provisions remain in full force.
