DEFAULT, REMEDIES AND INDEMNIFICATION

If Seller fails to perform Seller's obligations under this Agreement, Broker shall be entitled to recover reasonable broker compensation and costs, including expenses for marketing and legal fees, subject to the terms below. If Buyer defaults and Seller is unable to obtain a purchaser at substantially similar terms, Seller's remedies shall include retention of deposit or recovery of damages. The parties agree to attempt mediation prior to filing suit.

Seller agrees to indemnify and hold Broker harmless from claims arising out of Seller's misrepresentations, failure to disclose material facts, or failure to perform obligations under this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct.

MARKETING EXPENSES & COSTS

Seller agrees to pay marketing expenses as specified below. If Seller authorizes costs in excess of the amount below, Broker shall obtain Seller's prior written approval.
