Broker Duties, Seller Obligations & Indemnity

Broker Duties: Broker will use customary efforts to market the Property, present all offers, provide fiduciary duties as required by law, and coordinate showings. Broker does not guarantee sale and is not responsible for latent defects not disclosed by Seller.

Seller Obligations: Seller warrants authority to list the Property, will maintain access for showings, will disclose known defects in writing prior to marketing, and will keep utilities on as necessary for showings unless otherwise agreed in writing.

Indemnity: Seller agrees to indemnify, defend and hold Broker harmless from liabilities arising out of Seller's failure to disclose material facts, or misrepresentations by Seller. In the event Broker is required to enforce this Agreement, Seller will pay reasonable attorney fees and collection costs if awarded by a court or arbitrator.

Default, Remedies & Miscellaneous

Default: If Seller materially breaches this Agreement, Broker may terminate the Agreement and seek all remedies available by law or equity, including commission, damages and attorney fees. Seller acknowledges Broker may retain copies of marketing materials and records relating to the transaction.

Governing Law: This Agreement shall be governed by the laws of the state of . Venue for disputes shall be in the appropriate state or federal court located in that state unless arbitration is required by brokerage policy.

Entire Agreement: This document, together with any attached addenda and disclosures identified below, constitutes the entire agreement between the parties and supersedes prior discussions. Amendments must be in writing signed by both Seller and Broker.
