REAL ESTATE SITE AGREEMENT

This Real Estate Site Agreement (the Agreement) is entered into as of by and between:

Owner grants to Licensee a non-exclusive license to occupy and use the portion of the Property described above (the Site) for the purpose of: subject to the terms and conditions set forth in this Agreement.

Possession shall be delivered to Licensee on the Commencement Date subject to completion of any agreed pre-occupancy work. Unless otherwise agreed in writing, Licensee shall vacate and surrender the Site on the Expiration Date in accordance with Section Surrender and Removal of Improvements below.

Late Fee: If any payment is not received within days after the due date, Licensee shall pay a late charge of plus interest at the lesser of the maximum lawful rate or .

Permits, Compliance & Utilities

Licensee shall obtain and maintain at its expense all required permits, approvals and licenses necessary for Licensee's use of the Site. Licensee shall comply with all applicable laws, regulations and conditions of governmental authorities. Utilities and services to be provided by:

Insurance & Indemnity

Insurance Requirements: Licensee shall, at its sole cost, maintain commercial general liability insurance with limits not less than per occurrence and property insurance covering Licensee's improvements. Licensee shall name Owner as an additional insured where applicable and provide certificates of insurance evidencing coverage prior to Commencement Date.

Indemnity: Licensee shall indemnify, defend and hold Owner harmless from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's use of the Site, except to the extent caused by Owner's gross negligence or willful misconduct.

Improvements; Alterations; Removal

All improvements, fixtures and equipment installed by Licensee shall be subject to Owner's prior written consent. Unless otherwise agreed in writing, Licensee shall remove, at Licensee's expense, all Licensee-owned improvements and restore the Site to a condition reasonably similar to that existing prior to installation within days after termination.

Owner represents, to Owner's actual knowledge, the following:

Default & Remedies

Default: The occurrence of any of the following shall constitute an Event of Default by Licensee: (a) failure to pay any sum due hereunder within the time allowed; (b) material breach of Licensee's obligations that is not cured within days after written notice; or (c) insolvency of Licensee. Remedies: Upon an Event of Default, Owner shall have all remedies available at law or in equity, including termination, damages, injunctive relief and recovery of attorneys' fees and costs.

Termination

This Agreement may be terminated by mutual written agreement of the parties or by Owner for Licensee's uncured Event of Default. Upon termination, Licensee shall promptly vacate and surrender the Site in accordance with this Agreement. Termination shall not relieve Licensee of obligations accruing prior to termination.

Assignment; Subletting

Licensee shall not assign, transfer or sublet any interest in this Agreement or permit any third party to occupy the Site without Owner's prior written consent, which shall not be unreasonably withheld for bona fide creditworthy assignees where permitted under applicable law.

Surrender; Conditions on Vacation

On expiration or termination of this Agreement, Licensee shall remove its equipment and improvements if required and restore the Site to the condition required by this Agreement. Licensee shall be liable for reasonable costs to effect restoration if Licensee fails to do so.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by written notice).

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for any action shall be in the appropriate state or federal court in that jurisdiction.

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any modification must be in writing and executed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Attorneys' Fees: The prevailing party in any dispute arising under this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Acknowledgment

Each party represents and warrants that it has full authority to enter into this Agreement, that the person signing below on its behalf is authorized to do so, and that this Agreement is a binding obligation enforceable in accordance with its terms.
