What the Real Estate Sod and Drywell Agreement Covers

The Real Estate Sod and Drywell Agreement is a written contract used in U.S. real estate and construction transactions to document obligations for installing or restoring sod and installing or maintaining a drywell on a parcel. It identifies the property, the parties responsible (owner, developer, contractor), scope of work, materials and specifications, schedule, payment terms, inspection and acceptance criteria, remedies for defective work, and allocation of ongoing maintenance and liabilities. The agreement can be standalone or an exhibit to a purchase, sale, or construction contract and is typically governed by the chosen state law.

Why Use this Agreement for Sod and Drywell Work

Use a Real Estate Sod and Drywell Agreement to set clear obligations, timelines, and payment terms for landscaping and stormwater work, reduce disputes through written specifications and acceptance criteria, and assign maintenance and liability responsibilities to support enforceability under state contract law.

A professional Real Estate Sod and Drywell Agreement should include defined technical specs, liability terms, inspection standards, payment schedules, warranty language, and governing law clauses.

Technical Specs

Describe exact sod species, soil amendments, grading tolerances, drywell design capacity, materials, and installer performance criteria to ensure consistent workmanship and to provide objective grounds for acceptance or corrective action.

Schedule

Include start and completion dates, weather contingency provisions, inspection windows, and liquidated damages or extension mechanisms tied to specific milestones to manage project timing explicitly.

Payment

State contract price, deposit amount, milestone payments, retainage percentage, invoicing schedule, acceptable payment methods, and consequences for late or nonpayment including interest calculation and collection costs.

Inspections

Define inspection procedures, acceptance criteria, responsible inspector(s), remedy timelines for failures, and documentation required to certify work completion for resale or permitting, including photographic records.

Warranties

Specify warranty length, coverage (sod establishment, drainage function), exclusions, the claims process, and obligations for landscape maintenance during the warranty period with contact procedures for warranty service requests.

Liability

Allocate responsibility for property damage, environmental compliance, third-party claims, insurance requirements, indemnity clauses, and caps on consequential damages consistent with state law and risk allocation preferences.

Supplementary Clauses That Reduce Risk

Supplementary provisions often included are insurance requirements, indemnification, permit responsibilities, and dispute resolution to reduce transaction risk through clear contractual terms.

Insurance

Require contractor to carry commercial general liability and workers' compensation with specified limits, name owner as additional insured for installation period, and provide certificates before work begins.

Indemnification

Include mutual or unilateral indemnity provisions detailing how claims for property damage, bodily injury, or regulatory fines will be handled and which party bears defense costs.

Permits

Assign responsibility for obtaining permits, paying fees, coordinating inspections, and complying with local stormwater or environmental regulations tied to drywell installation, including erosion control and inspection scheduling.

Dispute Resolution

Specify whether disputes resolve by negotiated mediation, arbitration, or court litigation, and set venue, governing law, and any limitations on remedies or injunctive relief and attorney fee provisions.
