REAL ESTATE SOLE MANDATE

Parties and Appointment

This Real Estate Sole Mandate (the "Mandate") is entered into by and between:

Property Identification

Mandate Term and Exclusive Authority

Owner hereby grants Broker the exclusive and sole mandate to market, solicit offers, and negotiate the sale of the Property for the term beginning on and ending on (the "Term").

During the Term Owner shall not engage any other broker, agent, or person to sell or list the Property and shall refer all inquiries to Broker. Broker is authorized to place the Property into cooperative listing services, place signage, and conduct showings on Owner's behalf in accordance with this Mandate.

Financial Terms and Commission

Owner agrees to pay Broker a commission equal to of the gross sale price, payable at the earlier of closing or upon Owner's receipt of binding written contract for sale. Minimum commission (if any): $ .

Commission is earned if, during the Term or within days after termination, the Property is sold to a purchaser procured by Broker or any person introduced to the Property by Broker.

Marketing, Expenses, and Cooperation

Broker is authorized to advertise, photograph, host open houses, subscribe to cooperative listing services, and engage cooperating brokers. Owner authorizes Broker to place a "For Sale" sign on the Property unless Owner checks: No sign

Owner shall be responsible for reasonable out-of-pocket marketing expenses approved in advance in writing by Owner. Unless otherwise agreed in writing, advertising and promotion costs will be reimbursed to Broker at closing out of sale proceeds.

Seller Representations and Warranties

Owner represents and warrants that Owner is the lawful owner of the Property, has full authority to enter into this Mandate, that the Property is not subject to undisclosed liens, encumbrances, leases, or agreements which would materially impair Owner's ability to sell, and that there are no facts known to Owner that would materially affect the value or marketability of the Property except as disclosed in this Mandate.

Default, Remedies, and Termination

If Owner breaches any material provision of this Mandate, Broker shall be entitled to recover actual damages, including earned commission if a sale is consummated by an acted-upon buyer, plus reasonable costs and attorneys' fees. If Broker breaches, Owner may terminate the Mandate and seek actual damages. Termination shall not affect Owner's obligation to pay commission for transactions subject to the protection period or for transactions procured by Broker prior to termination.

Indemnity and Limitation of Liability

Each party agrees to indemnify and hold harmless the other from claims, liabilities, losses, and expenses arising from the indemnifying party's breach of its representations or willful misconduct. Broker's liability for any claim arising under this Mandate shall be limited to actual direct damages and shall exclude consequential, incidental, and punitive damages except where prohibited by law.

Notices

Notices under this Mandate shall be delivered in writing to the addresses below and shall be effective upon personal delivery, confirmed electronic transmission, or three (3) days after deposit in certified mail, postage prepaid.

Governing Law; Entire Agreement

This Mandate shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Mandate contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by both parties.

Inspection and Access

Owner agrees to permit Broker and prospective purchasers reasonable access to the Property for showings and inspections. Broker will use commercially reasonable efforts to coordinate showings and to protect Owner's personal property during such access.

Acknowledgement

The undersigned acknowledge that they have read this Mandate, understand its terms, and are authorized to execute it on behalf of the respective parties.
