What a Real Estate Space Agreement Covers

The Real Estate Space Agreement is a written contract that defines terms for leasing, subleasing, or licensing commercial or residential space between an owner (lessor) and a tenant or licensee. It sets occupancy dates, permitted uses, rent or fees, maintenance responsibilities, utilities allocation, insurance requirements, and default remedies. The agreement often includes exhibits such as floor plans, scope of work, or tenant improvement schedules. Properly drafted, it reduces disputes, clarifies obligations, and provides a legal basis for enforcement in state courts or arbitration.

Why a Formal Space Agreement Matters

A Real Estate Space Agreement protects parties by documenting rent, term, permitted uses, maintenance, and remedies. It allocates financial and operational risk, supports financing or insurance processes, and establishes enforceable rights under state law and federal e-signature frameworks when executed electronically.

Why a Formal Space Agreement Matters

Who Typically Uses This Agreement

Typical users include property owners, tenants, brokers, property managers, and attorneys working on leasing, sublease, or license arrangements.

  • Property owners and landlords managing revenue, compliance, and property condition obligations.
  • Commercial and residential tenants defining permitted uses, improvements, and subletting rights.
  • Brokers, property managers, and legal counsel drafting, negotiating, and reviewing terms.

Essential Sections to Include

Core sections of a professional Real Estate Space Agreement define parties, term, rent and fees, permitted uses, maintenance, insurance, default, and remedies with clear exhibits.

Parties

Identify lessor and lessee using full legal names and business entity types, including mailing and physical addresses and contact information; attach officer or authorized signer details if entity is a corporation or LLC.

Term

Specify lease commencement and expiration dates, options to renew or extend, notice periods, early termination conditions, and any rent abatement or holdover provisions.

Rent & Fees

State base rent, payment schedule, late fees, CAM charges, utilities allocation, security deposit amount, and procedures for rent increases or CPI adjustments and billing.

Use & Exclusivity

Define permitted uses, hours of operation, exclusivity clauses, signage rights, environmental restrictions, and compliance with zoning and building codes and tenant obligations.

Improvements & Repairs

Allocate responsibility for tenant improvements, construction timelines, landlord allowances, maintenance obligations, repair standards, indemnities, and restoration at lease end.

Insurance & Indemnity

Specify required insurance types and limits, certificate of insurance procedures, indemnity scope, waiver of subrogation, and who bears deductible costs after losses.

Common Preparation Errors to Avoid

  • Undefined premises boundaries often lead to disputes over responsibility for repairs, utilities, parking, and common area maintenance; attach scaled floor plan and square footage measurement to reduce ambiguity.
  • Vague maintenance clauses create cost allocation disputes; clearly assign routine, structural, and capital repair obligations and specify response times and vendor approval processes.
  • Failing to obtain evidence of signatory authority for entities may void enforcement; include corporate resolutions, operating agreement excerpts, or power of attorney when an agent signs.
  • Ignoring state landlord-tenant statutes and security deposit rules can lead to penalties; reference applicable statutes and follow notice, holding, and return procedures precisely.

Potential Consequences of Defective Agreements

Breach of Lease: Damages, eviction, accelerated rent
Recording Errors: Deed rejection or clouded title
Security Deposit Violations: Fines, statutory penalties
Unenforceable Signature: Invalid if not properly authorized
Wrong Tenant: Loss of possession or liability
Insurance Gaps: Uninsured losses and third-party claims

Real-World Examples and Outcomes

Real-world examples show common drafting choices and how digital execution affects timing, recording, and lender review.

Small Landlord

A two-unit landlord used a tailored space agreement to formalize short-term tenancy, specifying rent, utilities split, and repair responsibilities to avoid habitability disputes.

  • Executed electronically to speed signature collection.
  • By attaching a floor plan and a simple move-in checklist, the landlord and tenant reduced move-out disputes and reconciled security deposit claims quickly; electronic signing ensured dated proof of agreement and prompt fund transfers.

Office Tenant

A growing software firm negotiated tenant improvements and a landlord allowance, tying completion milestones to rent commencement and tenant occupancy rights.

  • Included lender estoppel requirements and recording timeline.
  • The parties recorded a memorandum to protect lender interests, used remote notarization for the lease exhibit, and the digital audit trail satisfied the title company’s requirements, shortening loan approval timelines.

Who Can Sign and Bind the Agreement

Property Owner — Landlord

Owners or landlords hold authority to negotiate rent, approve improvements, and execute agreements on behalf of the property; entity signatories should provide evidence of authority, such as corporate resolutions or an officer’s certification.

Tenant — Authorized Representative

A tenant’s signatory must have authority to bind the tenant entity or individual; for companies provide title, proof of authorization, and contact information to confirm enforceability and to satisfy lender or title company due diligence.
