What the Real Estate Special Sale Agreement Covers

A Real Estate Special Sale Agreement documents the terms for selling real property under nonstandard conditions such as short sales, as-is disposition, bulk portfolio transfers, or sales subject to lender approval. It sets buyer and seller obligations, purchase price and adjustments, contingencies, deposit and closing mechanics, and any required disclosures. The agreement provides a clear recording-ready record of the transaction and supports escrow, title, and tax reporting processes. When executed electronically it may rely on ESIGN and UETA-compliant e-signature workflows for legal effect.

Why a Clear Special Sale Agreement Matters

A well-drafted Special Sale Agreement reduces closing delays, clarifies contingency and financing obligations, protects parties from disputes, and documents responsibilities for title, prorations, and liens. It also simplifies escrow instructions and supports accurate tax and reporting obligations.

Why a Clear Special Sale Agreement Matters

Who Typically Prepares and Signs This Agreement

The document is used by professionals and private parties involved in nonstandard real estate transactions where additional clarity and approvals are required.

  • Sellers and listing agents managing short sales, as-is dispositions, or portfolio sales.
  • Buyers, buyer brokers, and investors accepting special terms or conditional financing.
  • Title, escrow officers, and lenders who must review, approve, or record the transaction.

Each signer’s role determines which fields they complete, what approvals are required, and whether notary or witness authentication is necessary before recording.

Representative Signatory Roles

Listing Agent

Real estate brokers or listing agents prepare disclosures, manage negotiation points, and coordinate delivery of the signed agreement to escrow and title. They ensure contract deadlines and contingency removal dates are tracked until closing.

Title Company

Title officers confirm legal descriptions, lien status, recording requirements, and coordinate final recording. They may require notarized acknowledgments or witness statements to accept instruments for recordation.

Key Required Fields at a Glance

Property Description: Street address and legal description
Seller Name: Full legal name(s) as on title
Buyer Name: Full legal name(s) for vesting
Purchase Price: Numeric amount in USD
Closing Date: MM/DD/YYYY format
Signatures: Signed and dated by all parties

Consequences of Errors or Omissions

Recording Delay: Incorrect notary or missing witness delays recordation
Title Rejection: Wrong legal description can trigger title defects
Tax Reporting Risk: Improper reporting can affect 1099-S obligations
Lender Rejection: Unsigned lender addenda may void approval
Legal Disputes: Vague contingencies increase litigation risk
Contract Voidance: Material omissions can render agreement unenforceable

Common Preparation Mistakes to Avoid

  • Using an incomplete legal description or PO box address when recorders require a full street address and parcel ID.
  • Failing to obtain required notarizations, witness signatures, or lender acknowledgements before sending to the county recorder.
  • Leaving contingency deadlines unspecified or inconsistent with escrow instructions, which can cause automatic terminations or disputes.
  • Misstating the buyer’s vesting or taxpayer identification, leading to tax reporting errors and backup withholding triggers.

Step-by-Step: Completing the Agreement

Follow these sequential steps to complete and prepare a Special Sale Agreement for execution and recording.

  • 01
Gather documents: Collect deed, title report, disclosures, and lender addenda.
  • 02
Fill core fields: Enter parties, property description, price, dates, and contingencies.
  • 03
Add authentication: Place signature, notarization, and witness fields as required.
  • 04
Deliver to escrow: Send signed package to title/escrow for closing and recording.

How to Configure an Electronic Workflow

Set up an e-sign workflow that matches signer order, authentication needs, and storage requirements before sending the document.

Confirm your chosen system supports advanced signer authentication, audit trails, and export options title companies accept for closing and recordation.

Where to Send the Executed Agreement
