REAL ESTATE STAGING AGREEMENT

This Real Estate Staging Agreement ("Agreement") is entered into on by and between Owner: and Stager: . Owner and Stager are each a "Party" and together the "Parties."

Property Identification

Scope of Services

Stager will provide staging services for the Property including consultation, selection, placement and removal of furniture, accessories, lighting and décor (collectively, "Staging Services") as described below. The Parties agree that Staging Services shall include only those tasks expressly listed in the Service Description field and any additional services authorized in writing by Owner.

Compensation and Payment

Owner agrees to pay Stager the fees set forth below. All sums are payable in United States dollars and are non-refundable except as expressly provided in this Agreement.

Inventory, Ownership and Condition

Stager shall provide an itemized inventory of all staging items delivered to the Property. Title to staged items remains with the Stager except for items specifically sold to Owner in writing. Owner acknowledges responsibility for ordinary wear and tear and for costs to repair or replace items damaged beyond ordinary wear while under Owner's control.

Insurance; Liability; Indemnification

Stager shall maintain commercially reasonable general liability insurance covering the staging operations and will provide proof of such insurance upon Owner's written request. Owner shall maintain hazard insurance on the Property during the Term. Stager is not responsible for pre-existing structural or concealed defects. Each Party shall indemnify and hold harmless the other from claims arising from its own negligence or willful misconduct.

Access; Keys; Security

Owner grants Stager and its agents reasonable access to the Property for delivery, installation, maintenance and removal of staging items and for periodic inspections. Owner shall provide one set of keys or alarm codes if required. Stager will exercise reasonable care but is not liable for theft or vandalism absent Stager's gross negligence.

Representations and Warranties

Owner represents that Owner has the authority to enter into this Agreement and to grant access to Stager. Stager represents that it has the experience and skill to perform the Staging Services in a professional manner consistent with industry standards.

Disclosures

The following disclosures relate to the Property condition or occupancy which may affect staging operations. Owner must notify Stager of any known conditions prior to commencement of services.

Termination; Default; Remedies

Either Party may terminate this Agreement upon material breach by the other Party if such breach remains uncured for ten (10) days after written notice. In the event of Owner's default, Stager may retain the deposit and seek recovery of unpaid fees and reasonable costs of removal and repair. In the event of Stager's material breach, Owner may withhold payment for the portion of services not performed.

Removal; Condition at End of Term

Stager shall remove all staging items by the Staging End Date unless otherwise agreed. Owner shall make the Property accessible for removal. Stager shall repair damages caused by Stager's removal activities; Owner shall be responsible for repairs caused by occupants or third parties.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both Parties.

Notices

Notices shall be in writing and delivered to the addresses provided below by hand, certified mail, or overnight courier. Notice is effective upon receipt.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other, except that Stager may assign to an affiliate or successor in interest.
