REAL ESTATE STATIONERS AGREEMENT

This Real Estate Stationers Agreement ("Agreement") is made effective as of by and between the parties identified below. The parties agree to the terms set forth in this Agreement governing the production, supply, installation and licensing of printed and physical stationers, signage and related deliverables for the Property described herein.

PROPERTY IDENTIFICATION

SCOPE OF WORK

Vendor will design, produce, supply and, where applicable, install the stationery, printed materials, signage and related items ("Deliverables") identified below in accordance with the specifications and schedule approved in writing by Client. Deliverables include, but are not limited to:

Proof approval process: Vendor will provide initial digital proofs for each Deliverable. Client shall approve or provide requested changes within business days of receipt. If Client fails to respond within that period, Vendor may proceed at Client's risk and expense.

SCHEDULE, DELIVERY & INSTALLATION

Production commencement shall begin upon Vendor's receipt of the required deposit and executed approvals. Estimated delivery date: .

PRICING AND PAYMENT

Overdue amounts shall bear interest at per month, or the maximum permitted by law, plus reasonable collection costs and attorney fees.

WARRANTY, DEFECTS, AND REMEDIES

Vendor warrants that Deliverables shall be free from material defects in materials and workmanship for a period of days from installation or delivery, whichever is later. Client must notify Vendor in writing of any defects within the warranty period. Vendor's sole obligation shall be, at Vendor's option, repair or replacement of defective items. This warranty does not cover damage caused by misuse, alteration, vandalism, or normal wear and tear.

INTELLECTUAL PROPERTY AND USE OF TRADEMARKS

Client grants Vendor a nonexclusive, nontransferable license solely to use Client's logos, trademarks and brand assets to produce the Deliverables in accordance with this Agreement. Except for the license granted hereunder, all intellectual property rights in Client-supplied artwork and Vendor-created designs shall remain the property of the party specified in writing. Transfer of copyright or exclusive rights shall occur only upon full payment for the applicable Deliverable and expressed assignment in writing.

INSURANCE, PERMITS AND COMPLIANCE

Vendor shall maintain commercial general liability and workers' compensation insurance in commercially reasonable amounts and shall provide certificates upon request. Client is responsible for obtaining any permits or approvals required for signage and installation on the Property unless otherwise agreed in writing. All Deliverables and installation shall comply with applicable codes, ordinances and leasing or homeowner association rules.

DISCLOSURES REGARDING PROPERTY

For the Property identified above, indicate whether the following conditions are known to exist:

CONFIDENTIALITY

Each party shall keep confidential all proprietary or nonpublic business information disclosed by the other party in connection with this Agreement and shall not disclose such information except as required by law or as necessary to perform its obligations hereunder. Confidentiality obligations shall survive termination of this Agreement for a period of three years.

DEFAULT AND REMEDIES

A party shall be in default if it fails to perform any material obligation under this Agreement and such failure continues for a period of ten (10) days after written notice from the non-defaulting party, except cure periods expressly stated otherwise. Remedies for default include specific performance, damages, suspension of work, and recovery of costs and attorney fees. The parties expressly acknowledge that injunctive relief may be necessary to protect trademarks, trade dress and other proprietary rights.

TERMINATION

Either party may terminate this Agreement for material breach not cured within the allowed cure period, or immediately upon bankruptcy or insolvency of the other party. Upon termination, Client shall pay Vendor for all Deliverables completed and costs reasonably incurred prior to termination, plus any applicable restocking or cancellation fees set forth in an invoice.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses or expenses arising from the indemnifying party's negligence, willful misconduct, breach of this Agreement, or infringement of intellectual property rights, except to the extent caused by the indemnified party's own negligence or willful misconduct.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of law principles. This Agreement, together with any exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations and understandings.

MISCELLANEOUS

No waiver of any breach shall be effective unless in writing signed by the waiving party. Any modification or amendment to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
