Time is of the essence with respect to the deadlines extended by this instrument.

If the extended subject is not satisfied or a party does not timely exercise its rights under the Purchase Agreement by the new deadline, both Parties' rights and remedies provided in the Purchase Agreement remain available unless the Purchase Agreement expressly provides otherwise.

Each Party represents and warrants that: (a) it has full power and authority to enter into this Extension; (b) the person signing on its behalf is duly authorized; and (c) execution and delivery of this Extension and performance hereunder do not violate any other agreement binding on such Party.
