Subscriber warrants that it holds all rights necessary to provide property information, photographs, virtual tours, floor plans, and other content (collectively "Content"). Subscriber grants Service Provider a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, display and modify Content for the purposes of providing the Services and promoting the Property.

7. Representations, Warranties and Compliance

Subscriber represents and warrants that: (a) Subscriber has full authority to enter into this Agreement and to grant the rights set forth herein; (b) all Content provided is accurate to the best of Subscriber’s knowledge; and (c) Subscriber will comply with all applicable laws, ordinances, and regulations related to the listing and marketing of the Property, including fair housing and consumer protection laws. Breach of these representations constitutes a material breach permitting immediate termination and any available remedies at law or equity.

8. Confidentiality and Data Use

Each Party shall maintain the confidentiality of non-public business information exchanged under this Agreement. Service Provider may collect, analyze and use aggregated and de-identified data for product improvement and analytics; such aggregated data shall not identify Subscriber or the Property. Subscriber consents to Service Provider’s use of lead contact information as reasonably necessary to provide Services, and Subscriber will comply with applicable privacy and notice requirements when sharing personal data.

9. Indemnity; Limitation of Liability

Subscriber shall indemnify, defend and hold harmless Service Provider and its officers, agents and employees from any third-party claims arising out of Subscriber’s breach of this Agreement, misrepresentations regarding the Property, or violations of law. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY SUBSCRIBER TO SERVICE PROVIDER IN THE PRIOR TWELVE (12) MONTHS.

10. Termination; Remedies

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within Cure Period (days): after written notice. Upon termination, Service Provider will remove active listings within a commercially reasonable time; termination does not relieve Subscriber of payment obligations accrued prior to termination. Remedies provided herein are cumulative and in addition to any other remedies available at law or equity.

This Agreement shall be governed by and construed in accordance with the laws of Governing Law State/Province: without regard to its conflicts of law principles. This Agreement, together with any exhibits or schedules hereto, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous understandings and agreements, whether written or oral.

13. Miscellaneous Provisions

Assignment: Subscriber may not assign this Agreement or any rights hereunder without the prior written consent of Service Provider, except to an affiliate or successor in interest to substantially all of Subscriber’s assets. Severability: If any provision is held invalid, the remainder shall remain in full force and effect. Waiver: No waiver of any breach shall constitute a waiver of any other or subsequent breach.
