Termination, Default and Remedies

Termination: Subscriber may terminate this Subscription within the Inspection / Due Diligence Period by delivering written notice to Issuer prior to expiration of such period, whereupon the deposit shall be handled in accordance with the Deposit terms above.

Default: If Subscriber defaults in performance, Issuer may retain deposit as liquidated damages or pursue specific performance or other remedies available at law or in equity. If Issuer fails to close in material breach, Subscriber may seek return of deposit and pursue other remedies.

Miscellaneous Provisions

Governing Law: This Subscription shall be governed by and construed in accordance with the laws of the jurisdiction in which the Property is located, without regard to rules regarding conflicts of law.

Entire Agreement: This document, together with any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.

Assignment: Rights under this Subscription are transferable only with the prior written consent of the non-assigning party, which consent shall not be unreasonably withheld.
