Subscriber represents and warrants to Issuer that all information provided in this Subscription Document is true, complete and correct in all material respects and that Subscriber has full power and authority to enter into and perform this Subscription. Subscriber further represents that:

  1. Subscriber is acquiring the interest for investment and not with a view to distribution or resale.
  2. Subscriber has received and reviewed all offering materials and had an opportunity to ask questions and receive answers regarding the investment.
  3. Subscriber meets applicable investor suitability standards under federal and state securities laws:

Default; Remedies; Governing Law

This Subscription Document constitutes a binding agreement upon acceptance by Issuer. Except as otherwise provided herein, remedies for breach include specific performance, damages, and retention of deposits. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of the Issuer as set forth in the offering documents.

Acknowledgment and Certification

By executing this Subscription Document, Subscriber certifies under penalty of perjury that the representations, warranties, and covenants contained herein are true and correct as of the date of signature and that Subscriber is authorized to enter into this Agreement.
