This Real Estate Subscription Package ("Agreement") is entered into on between

Subscription Package Description

Provider will grant Subscriber access to the selected subscription package, including access to real estate listings, data feeds, marketing tools, and administrative features as described below for the Term set forth in this Agreement.

Property Identification

Fees, Payment, and Billing

Subscriber agrees to pay the fees set forth below in consideration for access to the subscription services. Fees are exclusive of taxes unless otherwise stated. All fees are non-refundable except as expressly provided in this Agreement.

Term, Renewal and Termination

The initial term of this Agreement begins on and continues until unless earlier terminated in accordance with this Agreement. This Agreement will automatically renew for successive terms of equal length unless either party provides written notice of non-renewal at least prior to the end of the then-current term.

Services, Responsibilities and Limitations

Disclosures and Property Condition

Subscriber represents and warrants that it will disclose to Provider any material defects or legally required disclosures for properties covered by this subscription and will comply with all applicable disclosure laws.

Confidentiality; Intellectual Property

Except as required by law, both parties shall maintain in confidence all non-public information disclosed by the other party and shall not use such information except to perform their obligations under this Agreement. Provider retains all right, title and interest in and to the subscription platform, software, and data feeds. Subscriber is granted a limited, non-exclusive, non-transferable license to use Provider materials for internal business purposes during the Term.

Default and Remedies

Failure to pay fees when due or material breach of obligations shall constitute an event of default. In addition to all rights at law and equity, Provider may suspend Subscriber access upon fifteen (15) days’ written notice for uncured non-payment. Remedies are cumulative and do not preclude injunctive relief or specific performance where appropriate.

Limitation of Liability and Indemnity

Provider’s liability arising under this Agreement shall not exceed the fees paid by Subscriber in the six (6) months preceding the claim. Neither party shall be liable for consequential, incidental, punitive or exemplary damages. Subscriber shall indemnify and hold Provider harmless from claims arising out of Subscriber’s misuse of the service, inaccurate property representations, or failure to comply with applicable law.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state identified below without regard to conflict of law rules. This Agreement, including any attached exhibits and order forms, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the address set forth in this Agreement or such other address as either party may designate by notice in accordance with this section.

Miscellaneous

No amendment to this Agreement will be effective unless in writing and signed by both parties. If any provision is held invalid, the remainder of the Agreement will continue in full force. Neither party may assign this Agreement without the other party’s prior written consent, except that Provider may assign to an affiliate or successor in interest.

Acknowledgment

Each party represents and warrants that it has full power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to bind the party. By signing below, the parties agree to be bound by the terms and conditions of this Real Estate Subscription Package.
