Inspection and Acceptance

Recipient shall have an inspection period of days following delivery to inspect materials and either accept or provide written rejection notice specifying defects. Supplier shall have a reasonable opportunity to cure nonconforming goods in accordance with this Agreement.

Warranties

Supplier warrants that all supplied materials shall be free from material defects in workmanship and materials and shall conform to agreed specifications for a period of months from acceptance. This warranty is in lieu of all other warranties, whether express or implied, except as expressly set forth herein.

Indemnification and Insurance

Each party shall indemnify, defend and hold the other harmless from and against claims arising from the indemnifying party's negligence or willful misconduct in connection with performance under this Agreement. Supplier shall maintain commercial general liability insurance and product liability insurance with limits sufficient for the size and nature of the supply, and shall provide certificates upon reasonable request.

Force Majeure

Neither party shall be liable for delays or failure to perform to the extent caused by events beyond such party's reasonable control, including acts of God, labor disputes, shortages, transportation delays, governmental actions, or other force majeure events. The impacted party shall provide prompt written notice of the event and use reasonable efforts to mitigate its effect.

Default; Remedies; Termination

A party in material breach shall provide written notice and a cure period of days. If the breach is not cured within the cure period, the non-breaching party may terminate this Agreement and pursue available remedies at law or equity, including recovery of direct damages and costs.
