REAL ESTATE TENDER AGREEMENT

This Real Estate Tender Agreement (the Agreement) is entered into by the parties identified below for the purchase and sale of the real property described in Section 2. 7. Default; Remedies

The parties acknowledge that unlawful retention of earnest money contrary to this Agreement may subject the retaining party to additional remedies.

Risk of loss remains with Seller until delivery of possession at closing. If material damage occurs prior to closing, Buyer may elect to terminate and receive return of earnest money, proceed to closing with agreed adjustments, or seek other remedies as provided herein.

9. Prorations; Utilities

Real property taxes, assessments, rents, utilities and other customary items shall be prorated as of the date of closing. Seller shall pay for clearance of any existing utility liens prior to closing.

10. Representations and Warranties

Each party represents and warrants that it has authority to enter into this Agreement, that the execution and performance will not violate other agreements, and that the information provided in this Agreement is true and correct to the best of the representing party's knowledge as of the date of signing.

11. Notices

Notices under this Agreement shall be delivered to the addresses set forth in Section 1 or to such other address as a party designates in writing. Notice shall be effective upon personal delivery, confirmed facsimile with transmission report, or three business days after deposit with U.S. or contracted courier service.

12. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement, together with any attachments and exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements concerning the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties.
