Recitals

This Real Estate Terms Contract (the "Agreement") sets forth the principal terms upon which Seller agrees to sell and Buyer agrees to purchase the Property identified above. The parties intend that closing shall occur in accordance with the terms set forth in this Agreement and that a formal purchase and sale agreement incorporating these terms shall be executed if required by either party.

From date of this Agreement until closing, Seller shall maintain the Property in its current condition and shall be responsible for risk of loss or damage to the Property.

Notices

Notices required by this Agreement shall be in writing and delivered to the addresses set forth in the Parties section above, or to such other addresses as a party may specify in writing pursuant to this provision. Notice is effective upon receipt.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, either written or oral. No amendment is effective unless in writing and signed by both parties.

Acceptance and Execution

This Terms Contract is effective upon execution by authorized representatives of both parties. Upon acceptance, the parties shall proceed in good faith to prepare and execute a formal purchase and sale agreement consistent with the terms stated herein.
