Inspection and Due Diligence

Inspection period: Trader (receiving party) shall have days from mutual acceptance to complete all inspections, surveys, title review and other due diligence. Any objection must be delivered in writing prior to expiration of the inspection period.

Closing, Possession and Prorations

Closing date shall be on or before unless extended by written agreement of the parties. Possession shall be delivered on subject to existing tenancies and agreed exclusions.

Default; Remedies

If a party materially defaults under this Agreement, the non-defaulting party shall provide written notice specifying the default and a period of days for cure. If the default is not timely cured, the non-defaulting party may pursue specific performance, termination with retention of deposit as liquidated damages, or other remedies available at law or in equity. Any remedy exercised shall be cumulative and not exclusive.

Insurance; Indemnity

Each party shall maintain insurance customary for ownership of the property through the closing date. Each party shall indemnify and hold harmless the other from claims, liabilities, losses and costs arising from the indemnifying party's acts or omissions prior to conveyance, except to the extent caused by the other party's negligence or willful misconduct.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the address set forth for each Trader. Notices are effective upon personal delivery, or three (3) business days after deposit in certified mail, return receipt requested.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement: This Agreement (including any exhibits, addenda and escrow instructions executed in connection herewith) constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.
