What the Real Estate Trading Services Agreement Is

The Real Estate Trading Services Agreement is a legally binding contract that documents terms between parties engaged in trading real property-related services, including brokerage, escrow facilitation, property exchanges, and investment partnership transactions. It defines services to be provided, compensation and fee structures, representations and warranties, closing and settlement procedures, confidentiality, dispute resolution, and allocation of risk. The agreement establishes timelines, conditions precedent, and required disclosures under state real estate law and federal regulations. Properly executed, it creates enforceable obligations and helps limit liability while clarifying each party’s operational responsibilities during a trade.

Why a Formal Agreement Matters

Practical Tips for Accurate Execution

Practical tips to improve accuracy and reduce execution friction for the Real Estate Trading Services Agreement.

Confirm signer authority and formation documents
Request a corporate resolution or certified formation documents when an entity signs. Cross-check names against tax ID and registration to prevent later challenges or title issues; record evidence of authority in the agreement file.
Reference legal description and parcel IDs
Include the full legal description, street address, and county parcel identification number. This reduces ambiguity during recording and ensures the title search matches the intended property, avoiding costly rescissions or corrective filings.
Tie payments to verifiable closing events
Link fee disbursement and commission payments explicitly to verifiable closing events such as escrow closing, fund transfer confirmation, or recordation of deed to avoid disputes over subjective conditions.
Specify confidentiality and data protections
Define permitted disclosures, data security measures, retention periods, and obligations under applicable privacy laws. Include remedies and notification duties for breaches to manage reputational and regulatory risk.
