Representations, Warranties, and Covenants

Transferor represents and warrants that Transferor is authorized to transfer the responsibilities checked herein, that there are no undisclosed material liens or encumbrances affecting the ability to transfer those responsibilities, and that Transferor has not knowingly made false statements in the Disclosures section.

Transferee acknowledges receipt of the Inventory and Disclosures and covenants to assume and perform the responsibilities accepted above as of the Effective Date, subject to the terms herein.

Indemnification and Liability

Transferor shall indemnify, defend, and hold harmless Transferee from claims, liabilities, losses, costs and attorneys' fees arising from acts or omissions of Transferor occurring prior to the Effective Date, including failure to disclose known defects. Default and Remedies

A material breach of the obligations assumed herein shall constitute default. The non-breaching party shall provide written notice and a reasonable opportunity to cure. If the breach is not cured within the cure period, the non-breaching party may pursue any remedy available at law or in equity, including specific performance and recovery of costs and attorneys' fees.

Insurance, Taxes, and Third-Party Notices

Insurance: Unless otherwise agreed, Transferee shall obtain and maintain property and liability insurance covering the responsibilities assumed. Transferor shall cooperate in notifying insurers and effecting any necessary endorsements or changes.

Taxes/Assessments: Responsibility for taxes, assessments, and fees is as selected above. If taxes for periods straddling the Effective Date are assessed to both parties, the parties shall apportion tax responsibility on a pro rata basis unless otherwise agreed in writing.

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This document, together with any Attachments listed above, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.
