Transferor represents and warrants that Transferor is the lawful owner of the Property, has full authority to transfer the Property free of transfers not previously disclosed in writing to Transferee, and that there are no undisclosed leases, tenancies, or material defects known to Transferor other than as expressly set forth in this form. Transferor shall deliver a covenant deed or other instrument of transfer acceptable to the Title Company at closing.

Transferee and Lender (if applicable) shall have the right to obtain a title commitment, survey, and inspections within the inspection period. Performance of obligations hereunder is conditioned upon issuance of an owner’s and lender’s title insurance commitment insuring the transfer and refinance subject only to permitted exceptions acceptable to Transferee and Lender.

Default and Remedies

In the event of default by either party, the non-defaulting party shall provide written notice specifying the breach and shall have thirty (30) days to cure, if the breach is curable. If not timely cured, the non-defaulting party shall be entitled to pursue all remedies at law or in equity, including specific performance where appropriate, and recovery of costs and reasonable attorneys’ fees incurred in enforcing this agreement.

Governing Law: This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Property is located. Venue for any dispute shall lie in the courts of that jurisdiction.

Entire Agreement: This form, together with recorded documents and escrow instructions arising from it, contains the entire agreement of the parties with respect to the transfer and refinance and supersedes all prior agreements, representations, and understandings, whether written or oral.
