What a Real Estate Transport Agreement Covers

A Real Estate Transport Agreement is a contract that governs the transfer, handling, and movement of property-related documents, keys, fixtures, or tangible assets between parties involved in a real estate transaction. It defines responsibilities for pickup, delivery, secure custody, chain of custody procedures, insurance and liability during transit, delivery timelines, accepted carriers, and remedies for loss or delay. The agreement applies to brokers, escrow agents, title companies, movers, and sellers or buyers who exchange physical property or documents as part of closing or post-closing processes.

Why a Transport Agreement Matters in Real Estate Transactions

Use a Real Estate Transport Agreement to assign clear responsibilities for moving property and sensitive documents, limit liability, document insurance coverage, set delivery windows, and create enforceable remedies. Clear terms reduce disputes, support escrow instructions, and protect parties during physical transfers.

Why a Transport Agreement Matters in Real Estate Transactions

Who Typically Completes This Agreement

Typical users include brokers, title companies, escrow agents, movers, and vendors handling physical property or closing documents.

  • Real estate brokers coordinating key and document handoffs during closing.
  • Title and escrow companies ensuring chain of custody for original deeds and recordings.
  • Moving companies or logistics vendors transporting fixtures, appliances, or personal property between properties.

Parties use the agreement to document expectations, allocate risk, and provide evidence for claims if items are lost, damaged, or delayed.

Core Sections to Include in a Professional Agreement

Core sections of a professional Real Estate Transport Agreement outline duties, liability, timelines, and remedies to create enforceable, auditable transfers.

Insurance

Liability

Allocate loss and damage responsibility, include indemnity clauses, cap damages where lawful, and specify circumstances for carrier or owner fault determinations and dispute resolution procedures.

Penalties and Practical Risks of an Incorrect Agreement

Delayed Closing: May incur lender penalties.
Insurance Denial: Untimely notice can void claims.
Loss Liability: Carrier liability may be capped.
Title Risk: Missing originals delay recording.
Tax Withholding: Incorrect names trigger backup withholding.
Regulatory Noncompliance: Certain documents exempt from e-sign.

Common Mistakes to Avoid

  • Failing to list serial numbers or accurate inventory makes insurance claims difficult and can result in reduced recoveries or prolonged dispute resolution.
  • Using vague delivery windows or no carrier identification increases risk of late delivery, misrouting, and potential liability disagreements among parties at closing.
  • Omitting proof of insurance, certificates, or failing to require additional insured endorsements can lead to denied claims following loss or damage in transit.
  • Not documenting chain of custody with timestamps, signatures, or tracking numbers weakens enforceability and increases time and cost to resolve disputes.

Practical Examples from Real-World Use

Real-world examples show how transport agreements reduce risk and support smooth closings for brokers and title companies.

Martin Properties

Martin Properties used an online transport agreement to coordinate movers, title, and seller deliveries across multiple closings.

  • Reduced delays and eliminated paper handling.
  • By documenting inventory, insurance, and chain of custody in the agreement, the team avoided two disputed deliveries, expedited lender clearances, and provided evidence that satisfied insurance claims without costly litigation.

Title Company Example

A mid-size title company standardized a transport agreement template to manage documents moving between remote closings and offsite storage facilities.

  • Improved audit readiness and tracking accuracy.
  • Standardization reduced search time, ensured required insurance was verified before transport, and produced consistent signed receipts and digital audit trails, which simplified responses to lender inquiries and compliance reporting.
