What a Real Estate Unit Purchase Agreement Covers

A Real Estate Unit Purchase Agreement is a written contract that records the agreed terms between a buyer and seller for the sale of a condominium, cooperative unit, or other individually numbered real property unit. It identifies parties, the unit legal description and address, purchase price, earnest money deposit, financing and inspection contingencies, closing date and possession terms, prorations, and any homeowner association obligations or special assessments. The agreement frequently attaches exhibits for property condition, inventory, and financing addenda and may be executed electronically where ESIGN/UETA allow electronic signatures.

Why a Formal Unit Purchase Agreement Matters

A clear written agreement fixes essential terms, protects contractual rights, and sets timelines for inspections, financing and closing. It reduces ambiguity about deposits, title obligations, and HOA responsibilities while creating enforceable remedies if a party defaults.

Why a Formal Unit Purchase Agreement Matters

Who Commonly Prepares and Signs This Agreement

Various professionals and parties have roles in preparing, reviewing, and executing a unit purchase agreement.

  • Buyers and buyer agents — review financing contingencies, inspection rights, and ensure names match ID and title documents.
  • Sellers and listing agents — disclose unit condition, HOA rules, and confirm title defects or special assessments.
  • Lenders, title companies, and escrow officers — confirm lender requirements, clear title issues, and coordinate closing logistics.

Each participant has specific responsibilities; coordinated execution ensures valid conveyance and smoother closing.

Primary Sections to Expect in the Agreement

A professional Real Estate Unit Purchase Agreement organizes essential terms so each party understands obligations, deadlines, and legal remedies.

Purchase Price

States the total consideration, payment schedule, deposit handling, and how purchase price adjustments are calculated.

Property Description

Identifies unit number, building name, address, and precise legal description used by the county recorder for conveyance.

Earnest Money

Specifies deposit amount, escrow holder, deadlines for deposit, and conditions that permit forfeiture or return.

Contingencies

Lists inspection, financing, appraisal, and HOA approval contingencies, with explicit cure or removal deadlines and procedures.

Closing & Possession

Gives the target closing date, location, funding obligations, and when possession and utility transfer occur.

Representations

Seller and buyer statements on authority, encumbrances, pending assessments, and any material disclosures required by law.

Common Preparation Errors to Avoid

  • Using informal or abbreviated party names that do not match title documents, causing lender or recording delays.

  • Leaving contingency removal dates ambiguous, creating disputes over timely loan or inspection waivers.
  • Failing to confirm whether notarization or witness signatures are required for the deed in the chosen jurisdiction.

Risks and Potential Consequences of Defective Agreements

Title Claims: Clouded title risks
Deposit Loss: Forfeiture or litigation
Contract Rescission: Agreement may be voided
Financing Failure: Buyer liability for costs
Recording Delays: Delayed transfer of ownership
Regulatory Fines: Disclosure violations may incur penalties
