Defaults, Remedies and Indemnification

A party in material breach of any updated term after written notice and a reasonable opportunity to cure shall be liable for actual damages, including costs and attorneys' fees incurred by the non-breaching party in enforcing this Update. Remedies specified in the referenced transaction documents remain available unless expressly modified by this Update.

Each party agrees to indemnify, defend, and hold harmless the other party from claims arising out of the indemnifying party's breach of the representations, warranties, and covenants set forth in this Update.
