REAL ESTATE VACATION MANAGEMENT AGREEMENT

This Real Estate Vacation Management Agreement (the Agreement) is entered into by and between:

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement. Renewal: automatic renewal for successive periods unless terminated in writing.

Appointment and Authority

Owner hereby appoints Manager as the exclusive agent to manage, operate, rent and market the Property for short-term vacation rentals and Manager accepts such appointment subject to the terms and conditions of this Agreement. Manager is authorized to enter into rental agreements on behalf of Owner, collect rents and guest fees, and take reasonable actions to perform the duties described herein.

Manager Duties

Manager shall perform the following services (check all that apply) and such additional services as agreed in writing:

Marketing and advertising the Property
Creation and management of online listings and calendar synchronization
Reservation intake, guest communication and booking administration
Dynamic pricing and rate adjustments within agreed parameters
Guest check-in and check-out coordination
Coordination and scheduling of cleaning and turnover services
Coordination of routine maintenance and repairs
Emergency response and on-call assistance up to amount: $

Manager shall maintain records of reservations, guest funds, and expenses and shall provide Owner with periodic statements in accordance with the Accounting and Reporting section below.

Owner Responsibilities

Owner shall: maintain insurance covering the Property and liability for guests; keep the Property in safe, habitable condition; pay property taxes, utilities, and assessments unless otherwise agreed; supply all necessary consumables for guest occupation; and promptly approve or fund repairs in excess of the emergency repair limit.

Financial Terms

Management Fee: Manager shall be paid a fee equal to % of gross rental receipts (the Management Fee). Manager may additionally charge per-booking fees as set forth below.

Security Deposits: Manager will collect and hold security deposits    Owner will collect and hold security deposits. If Manager holds deposits, Manager will identify in writing the terms for disbursement and security deposit accounting.

Accounting and Reports

Manager shall provide Owner with statements of income and expenses for the Property on a basis showing gross rental receipts, fees, taxes collected and net remittance to Owner. Manager shall retain records for a minimum of three years and shall permit Owner reasonable access to such records upon request.

Taxes, Licenses and Compliance

Sales, transient occupancy and other taxes attributable to rentals of the Property shall be collected and remitted by Manager as agent and/or paid by Owner. Owner is responsible for obtaining and maintaining any local licenses, permits, and business registrations required for short-term rentals unless otherwise agreed in writing.

Insurance and Liability

Owner shall maintain property insurance and liability insurance in amounts sufficient to cover guests and third-party claims. Manager is not responsible for losses due to Owner's failure to maintain adequate insurance. Owner shall name Manager as an additional insured only where required by written agreement.

Indemnification

Owner shall indemnify, defend and hold Manager harmless from and against any losses, liabilities, claims or expenses (including reasonable attorney fees) arising out of Owner's breach of this Agreement, Owner negligence, or conditions of the Property. Manager shall indemnify Owner for Manager's gross negligence or willful misconduct.

Default and Termination

Either party may terminate this Agreement for cause upon written notice and a reasonable opportunity to cure. For convenience, either party may terminate upon days' written notice. Upon termination, Manager shall provide final accounting and remit net proceeds to Owner within days, subject to outstanding disputes, holds and applicable laws.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of . This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Manager may subcontract services to third-party vendors so long as Manager remains responsible for performance. Confidentiality: Both parties shall keep proprietary guest and financial information confidential.

Severability: If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect. Waiver: Failure to enforce any provision is not a waiver of future enforcement.
