This Real Estate Vendor Contract (the "Contract") is made between Owner: , and Vendor: . The parties agree as follows.

Warranties and Remedies

Change Orders

All changes to the Scope of Work shall be executed only by written Change Order signed by Owner and Vendor, which shall state any adjustment to price or schedule. Unauthorized changes are not reimbursable.

Liens, Releases, and Final Account

Vendor shall provide conditional and final lien waivers as required for payments. Vendor warrants that all subcontractors and suppliers will be paid and that no liens will remain on the Property as a result of the Work.

Indemnification and Liability

Vendor shall indemnify, defend and hold Owner harmless from and against any claims, losses, liabilities, costs and expenses arising out of Vendor's performance of the Work, except to the extent caused by Owner's gross negligence or willful misconduct. Vendor shall maintain the insurance described above and name Owner as an additional insured where applicable.

Termination and Default

Owner may terminate this Contract for material breach by Vendor if Vendor fails to cure within seven (7) days of written notice. Vendor may terminate if Owner fails to make required payments within fourteen (14) days of notice. Upon termination, Vendor shall be paid for Work performed and materials reasonably committed prior to termination, less costs to complete or cure in the event of Vendor's default.

Any dispute arising under this Contract shall first be submitted to non-binding mediation. If unresolved, disputes shall be resolved by binding arbitration in the county where the Property is located, conducted under the rules agreed by the parties. This Contract shall be governed by the laws of the state in which the Property is located. This Contract, including any incorporated exhibits and Change Orders, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements.
