Representations, Warranties and Certifications

Vendor represents and warrants that it has the full right and authority to enter into this Agreement, that services will be performed in a workmanlike manner, and that Vendor will comply with all applicable laws, codes and regulations. Vendor certifies that it is not debarred, suspended, or otherwise excluded from contracting with public entities.

Indemnification and Liability

Vendor shall indemnify, defend and hold harmless Company, its agents and employees from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Vendor's performance of the services, negligent acts, omissions or willful misconduct. Vendor's indemnity obligations shall survive termination of this Agreement.

Termination, Default and Remedies

Either party may terminate this Agreement for material breach upon written notice if the breach is not cured within fourteen (14) days. Company may immediately suspend or terminate Vendor's access to the property for safety or compliance reasons. Remedies provided herein are cumulative and in addition to any remedies available at law or equity.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the property is located. This document, together with any attachments and accepted work orders, constitutes the entire agreement between the parties and supersedes prior negotiations and understandings. No amendment shall be effective unless in writing and signed by both parties.
