What the Real Estate Village Agreement Is and when it applies

A Real Estate Village Agreement is a written contract used by property owners, developers, homeowners associations, or mixed-use managers to define shared responsibilities, maintenance obligations, common-area rules, cost allocation, and decision-making procedures for a planned community or grouped property portfolio. The document typically addresses boundaries of common areas, assessment and fee structures, dispute resolution, insurance and repair responsibilities, and voting or board governance. It functions as both an operational manual and an enforceable contract between owners, and it is often recorded or delivered to residents and lenders to clarify long-term obligations and rights.

Why a clear Real Estate Village Agreement matters

A precise agreement reduces disputes, clarifies cost sharing, and preserves property values while establishing decision-making rules and enforcement mechanisms. Ensure the document names responsible parties, payment schedules, indemnities, and repair standards. Electronic execution is legally valid under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable, provided intent, consent, attribution, and retention requirements are met.

Why a clear Real Estate Village Agreement matters

Who typically prepares and signs this agreement

Multiple roles participate in drafting, approving, and enforcing a Real Estate Village Agreement; responsibilities differ by role and scale.

  • Property managers and community associations responsible for administration, budgeting, maintenance coordination, and enforcement of day-to-day rules and assessments.
  • Developers and builders who set initial terms, fund infrastructure commitments, and establish transition timelines to homeowner governance.
  • Individual owners, investors, lenders, and condominium boards who must accept and comply with the agreement’s covenants, conditions, and restrictions.

Understanding who acts when helps assign signatures, approvals, and retention duties during negotiation and execution.

Typical signers and their roles

Property Manager

A property manager signs on behalf of the managing entity with authority to collect assessments, schedule maintenance, and enforce rules. Their signature often binds operational decisions and routine expenditures within the budgeted authority set by the agreement.

Owner / Developer

An owner or developer signs to accept obligations such as infrastructure construction, initial reserve funding, and conveyance terms. Their signature can include long-term warranties, contribution schedules, and handover provisions to the association or board.

Core sections to include in a professional agreement

A robust Real Estate Village Agreement organizes governance, financial obligations, maintenance standards, dispute resolution, insurance, and amendment procedures into distinct sections for clarity and enforceability.

Governance

Define board composition, election processes, quorum, voting thresholds, meeting frequency, and powers reserved to owners versus the board.

Assessments

Specify regular dues, special assessments, billing cycles, late fees, collection remedies, and allocation formulas for shared expenses.

Maintenance

Describe maintenance responsibilities for common areas, unit exteriors, landscaping, utilities, repair timelines, and contractor selection processes.

Insurance

List required insurance types, minimum coverage limits, named insureds, deductible allocation, and claim handling procedures.

Dispute Resolution

Include mediation and arbitration clauses, jurisdiction selection, and procedures for enforcement of rulings or injunctive relief.

Amendments

State the amendment process, required majorities, notice requirements, recording obligations, and effective date of changes.
