The Client grants the Firm authority to act as the exclusive agent for the sale of the Property as provided in Section 3 unless an alternate arrangement is selected below.

REPRESENTATIONS & WARRANTIES

The Client represents and warrants that the Client is the legal owner or is authorized to contract for the sale of the Property, that there are no undisclosed liens or encumbrances other than as disclosed to the Firm in writing, and that all information provided to the Firm is true, accurate and complete to the Client's knowledge.

CONFIDENTIALITY

Unless otherwise agreed in writing, the Firm will maintain as confidential all non-public information provided by the Client and will not disclose such information except as necessary to perform the Services, to prospective purchasers, to escrow/closing agents, or as required by law.

TERMINATION

Either party may terminate this Agreement upon days' prior written notice. Termination does not affect the Firm's right to compensation for transactions procured prior to termination or for transactions closed within any protection period as described below.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party agrees to indemnify and hold harmless the other party from claims, losses or liabilities arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. Except for willful misconduct or gross negligence, the Firm's liability for any claim arising out of this Agreement is limited to the total compensation actually received by the Firm under this Agreement.

DEFAULT & REMEDIES

In the event of default, the non-defaulting party may pursue any remedy available at law or in equity, including specific performance where applicable. Recovery of costs and reasonable attorneys' fees is permitted to the prevailing party.

GOVERNING LAW & ENTIRE AGREEMENT
