What the Real Estate Vote to Sell Agreement Is

A Real Estate Vote to Sell Agreement documents a formal decision by an ownership body — such as a homeowners association, condominium board, cooperative board, limited liability company, or partnership — to list or transfer title to a specified property. It identifies the property, the proposing party, the required voting threshold, the vote results, and any conditions attached to the sale. The agreement records corporate or association authority to sell, and it creates an evidentiary record used for closing, title review, mortgage clearance, and any required public filings or member notifications.

Why a Clear Vote-to-Sell Record Matters

A written vote record reduces disputes over authority, protects buyers and lenders during title review, and supports compliance with governing documents and state law; it also documents approval thresholds and any dissent or conditions tied to the sale.

Why a Clear Vote-to-Sell Record Matters

Who typically prepares and relies on this agreement

Common users include board secretaries, property managers, corporate officers, title companies, and closing attorneys who must evidence authority to sell.

  • Board Secretaries or Clerks who record meeting minutes and formal votes and ensure the corporate record supports a sale.
  • Property Managers who assemble documentation for listings, escrow, and lender review to avoid closing delays.
  • Title and Closing Agents who require a clear authorizing record to clear exceptions and record deeds.

Accurate preparation and distribution of the Vote to Sell Agreement prevents recording issues and reduces post-closing challenges for buyers and lenders.

Representative signer profiles

Board Secretary

The Board Secretary prepares and certifies the vote record, attaches meeting minutes, and certifies that vote tallies meet bylaws. This role typically signs as custodian of the corporate record and may supply documentary proof to title companies and lenders.

Corporate Officer

A designated corporate officer (president or managing member) signs to confirm the board resolution and execute sale documents. Their signature proves corporate authorization and can be authenticated for closing or recording.

Essential data elements to include

Property ID: Street address, legal description
Approval Date: MM/DD/YYYY
Vote Outcome: Yes/No counts
Quorum Statement: Number present vs required
Referencing Documents: Governing instrument citation
Signature Block: Name, title, date

Potential legal and transactional risks

Invalid Authorization: May void sale
Title Exceptions: Delays or additional cures
Lender Refusal: Financing interrupted
Member Litigation: Shares or parcel disputes
Regulatory Penalties: If statutory notice omitted
Tax Reporting: Potential 1099-S obligations

Common preparation and processing mistakes

  • Failing to cite the specific bylaw or operating agreement provision that authorizes the sale, which leaves the record vulnerable to challenge.
  • Not attaching or cross-referencing the meeting minutes and quorum proof, producing ambiguity about whether the vote met required thresholds.
  • Using vague language for conditions of sale (for example, 'subject to board approval' without defined limits), which creates interpretive disputes at closing.
  • Omitting signer titles or failing to obtain officer certification; missing corporate or membership attestations commonly trigger title company exceptions.
