REAL ESTATE WAIVER FORM

This Real Estate Waiver Form (the "Waiver") is made effective as of between the following parties concerning the property described below.

The Buyer, having been afforded the opportunity to review all relevant information, hereby knowingly and voluntarily waives the following contingencies and rights as specifically elected below. Buyer acknowledges that each waiver is an independent and material relinquishment of rights and may result in the immediate release of earnest money or other contractual remedies by the Seller.

Acknowledgments and Representations

The Buyer represents that Buyer has had a reasonable opportunity to obtain independent inspections, investigations, and legal advice and that Buyer is executing this Waiver voluntarily and with full knowledge of its legal effect. Buyer further represents that no Seller statement or omission induced this Waiver by fraud or material misrepresentation.

By executing this Waiver the Buyer specifically acknowledges that any of the checked contingencies shall be deemed waived and the Seller may proceed in reliance on such waiver. Waiver of a contingency shall not waive Seller's obligations that are expressly required by the underlying purchase agreement unless explicitly stated.

Release and Indemnity

To the fullest extent permitted by law, the Buyer releases and forever discharges the Seller and Seller's agents, brokers, contractors, and affiliates from any claims, demands, causes of action or liabilities arising from or related to the matters waived herein. The Buyer agrees to indemnify and hold harmless the Seller from all losses, costs, liabilities and expenses (including reasonable attorneys' fees) arising from the Buyer's execution of this Waiver or Buyer's subsequent assertions of rights that were waived.

Remedies; Effect on Underlying Agreement

This Waiver supplements and is subject to the terms of the underlying purchase agreement between the parties. Unless expressly modified herein, all obligations, timelines, and remedies set forth in the purchase agreement remain in full force. If the Buyer has waived a contingency and such waiver permits Seller to pursue contractual remedies, Seller's exercise of such remedies shall be governed by the purchase agreement and applicable law.

Governing Law; Severability; Entire Agreement

This Waiver shall be governed by the substantive laws of the state in which the Property is located, without regard to conflict of law principles. If any provision of this Waiver is held invalid or unenforceable, the remainder of the Waiver shall remain in full force and effect. This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings and representations.
