In the event of default by Buyer, Seller may retain the earnest money as liquidated damages or elect to pursue specific performance or damages. In the event of default by Seller, Buyer may elect to terminate and obtain a refund of earnest money, seek specific performance or pursue damages. Remedies are cumulative and subject to applicable law.

Risk of Loss; Insurance

Risk of loss to the Property shall remain with Seller until Closing. If material damage occurs prior to Closing, Buyer may elect to terminate and receive return of earnest money or proceed to Closing with an agreed credit or repair obligation.

Notices

Governing Law; Entire Agreement

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Contract, together with any written addenda, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.
