Default: If Contractor fails to commence or diligently prosecute the Work, Owner may provide written notice to cure. If cure is not completed within a commercially reasonable time, Owner may pursue remedies including hiring another contractor and deducting costs from amounts due.

Remedies: The parties agree that monetary damages are available and that prevailing party in any dispute may recover reasonable attorneys’ fees and costs where authorized by statute or contract.

Indemnity and Liability

Contractor shall indemnify, defend, and hold harmless Owner from claims, liabilities, damages, and expenses arising from Contractor’s performance, except to the extent caused by Owner’s negligence or willful misconduct. Liability shall be limited to direct damages; consequential and punitive damages are disclaimed to the fullest extent permitted by law.

Governing Law and Entire Agreement

This Agreement shall be governed by the laws of the state where the Property is located. This Agreement, including any exhibits and written change orders, constitutes the entire agreement between the parties and supersedes prior negotiations and representations not expressly set forth herein.
