REAL ESTATE WITHDRAWAL AND SALE CONSIDERATION AGREEMENT

Agreement

1. Withdrawal. Owner hereby irrevocably agrees to withdraw the Property from all listings, to cancel any active solicitation of offers, and to take all commercially reasonable actions to terminate or rescind any pending purchase contracts or options affecting the Property, effective upon receipt of the consideration described in Section 2.

Owner represents and warrants that Owner is the sole legal owner of the Property with full authority to enter this Agreement, that there are no undisclosed encumbrances placed by Owner which would prevent withdrawal, and that all information known to Owner materially affecting the Property has been disclosed to Recipient in writing prior to the Effective Date.

6. Recipient Representations. Recipient represents that Recipient has authority to tender the Consideration and that the payment will be made in accordance with the payment method specified in Section 2.

9. Attorneys' Fees. The prevailing party in any dispute arising under this Agreement shall be entitled to recover reasonable attorneys' fees, costs, and expenses.

10. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of .
