DUAL AGENCY / DESIGNATED AGENCY

The parties acknowledge that Broker may represent both Owner and Buyer under applicable law if full disclosure and consent are provided. Owner's election:

PROTECTION PERIOD AND COMMISSION AFTER EXPIRATION

If within days after expiration, Owner sells to a buyer procured by Broker during the Listing Term or by any cooperating broker introduced during the Listing Term, Owner agrees to pay Broker the commission set forth above.

DEFAULT, REMEDIES & INDEMNIFICATION

If Owner breaches this Agreement prior to Closing, Broker is entitled to recover actual damages including the agreed commission, costs, and reasonable attorney's fees. Owner agrees to indemnify and hold Broker harmless from claims arising from Owner's failure to disclose material facts or title defects except where Broker acted fraudulently or in bad faith.

TERMINATION

This Agreement may be terminated by mutual written agreement. Owner may not terminate to avoid payment of commission for a sale by a buyer procured by Broker during the Listing Term. Termination does not affect Owner's obligations relating to commissions earned or protection period obligations.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement is governed by the laws of the state where the Property is located. This document constitutes the entire agreement between Owner and Broker concerning the listing and supersedes all prior agreements and understandings, whether written or oral.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided above or to any updated address provided in writing to the other party.

ACKNOWLEDGMENTS

Owner acknowledges receipt of a copy of this Agreement, consents to Broker's marketing activities described herein, and represents that the information provided is true and correct to the best of Owner's knowledge.
