This agreement authorizes the Cooperating Agent to represent buyers or assist in procuring a buyer for the Property and sets forth the terms under which the Listing Broker will compensate the Cooperating Agent. The parties affirm that each holds and will maintain any licenses required by applicable law.

Duties and Obligations

Cooperating Agent agrees to exercise reasonable professional efforts to procure a ready, willing and able buyer, to present offers promptly to Listing Broker, and to comply with all material terms of this Agreement and applicable law. The Cooperating Agent warrants that all material facts known to the Cooperating Agent will be timely disclosed to Listing Broker and prospective buyers.

Default, Remedies and Dispute Resolution

A party in material breach of this Agreement shall provide written notice of the breach and a reasonable period to cure. If not cured within the stated cure period, the non-breaching party may pursue available remedies at law or equity. Commission entitlement disputes shall first be submitted to good-faith negotiation; if unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the parties' selected rules and the governing law clause below.

Indemnity, Insurance and Liability

Each party agrees to indemnify and hold harmless the other party from claims arising out of that party's negligence, willful misconduct, or breach of this Agreement. Cooperating Agent shall maintain professional liability insurance as required by law and by its brokerage. Neither party shall be liable for consequential or punitive damages except where prohibited by law.

Compliance with Law and REALTOR Code

The parties shall comply with all applicable real estate licensing laws, fair housing laws, and the REALTOR Code of Ethics where applicable. Nothing in this Agreement shall authorize any party to act outside the scope of its licensure.

Termination and Survival

This Agreement may be terminated by mutual written consent or by either party upon written notice for material breach if not cured within a reasonable period. Termination does not affect obligations that by their nature survive termination, including but not limited to commission entitlement for transactions in progress, confidentiality, indemnity, and dispute resolution.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties concerning cooperation and compensation for the Property and supersedes all prior discussions and agreements, whether written or oral. Any amendments must be in writing and signed by both parties.
