What the Realty Structure Agreement Covers

The Realty Structure Agreement is a legally binding document that defines how real property will be owned, managed, and governed when held through an entity such as an LLC, partnership, or trust. It specifies capital contributions, ownership percentages, profit and loss allocation, voting and decision-making rules, transfer restrictions, dispute resolution, and dissolution mechanics. The agreement also addresses insurance, tax reporting responsibilities, lender covenants, and recordkeeping. Properly drafted, it aligns investor expectations, supports financing and title review, and reduces operational ambiguity across property lifecycles.

Why a Realty Structure Agreement Matters

A clear Realty Structure Agreement reduces owner disputes, clarifies economic rights, and documents governance needed by lenders and title companies. It establishes obligations, risk allocation, and procedures that protect parties and support third-party due diligence.

Mistakes to Avoid When Preparing the Agreement

  • Using informal or ambiguous language for capital calls, which leaves timing and obligation open to conflicting interpretation by members.
  • Failing to confirm signatory authority for entities, causing executed agreements to be rejected by title companies or lenders.
  • Omitting a clear transfer restriction or buy-sell mechanism, which can permit unintended transfers and dilute other owners.
  • Neglecting to align lender covenants with governance terms, risking inadvertent defaults when operational decisions are made.

Typical Timing Considerations and Deadlines

Track key dates from agreement effective date through recording, tax reporting, and recurring compliance checkpoints.

Effective Date:

The date entered on the agreement begins rights and obligations.

Recording Window:

Record deeds and easements promptly; county requirements and lender timelines vary.

Tax Reporting:

Provide schedules and allocations for annual tax filings and K-1 distributions.

Annual Reviews:

Hold required member or manager meetings and update financial statements each year.

Notice Periods:

Observe any contract notice windows for transfers, removals, or buyouts.
