Scope of Work

Term and Termination

This Authorization commences on Start Date: and remains in effect until End Date: , unless earlier terminated pursuant to this section.

Either party may terminate this Authorization without cause by providing written notice to the other party at least days prior to the intended termination date. Termination for cause may be immediate where a party materially breaches this Authorization and such breach remains uncured for 10 days following written notice.

Confidentiality

Each party shall maintain the confidentiality of materials and information designated confidential by the other party or that by its nature is confidential. Recycling Provider shall implement reasonable safeguards to prevent unauthorized access to confidential materials, including secure handling and, where applicable, certified destruction of confidential paper. Confidential information shall not be used or disclosed except as necessary to perform obligations under this Authorization or as required by law.

Hazardous Materials & Compliance

Recycling Provider is not authorized to accept hazardous or regulated wastes unless specifically stated in writing. Authorizing Party represents that materials delivered for collection are not hazardous, infectious, radioactive, or otherwise regulated, except as disclosed below. If hazardous materials are present, Authorizing Party must identify them and assume all legal responsibility for proper disclosure and packaging.

Authorizing Party shall indemnify, defend, and hold harmless Recycling Provider and its agents from any claims, liabilities, penalties, costs or expenses arising from Authorizing Party's failure to disclose hazardous materials, misrepresentation of the nature of the materials, or Authorizing Party's negligence or willful misconduct. Recycling Provider shall indemnify Authorizing Party for claims arising from Recycling Provider's gross negligence or willful misconduct in performing services under this Authorization.

Governing Law

This Authorization shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles. Venue for any dispute shall be the state or federal courts located in the selected jurisdiction.

Entire Agreement
