What a Redistribution Agreement Is and when it applies

A Redistribution Agreement is a contract that grants a third party the right to resell, sublicense, or otherwise distribute goods, software, content, or services originally produced by the grantor. It defines the scope of redistribution rights, permitted channels, geographic territories, exclusivity or non‑exclusivity, pricing or discount rules, marketing responsibilities, ordering and fulfillment mechanics, intellectual property ownership, warranties, indemnity obligations, duration and termination rights, and post‑termination handling of inventory or licensed copies. The document clarifies compliance duties, reporting and audit rights, and remedies for breach so both parties understand operational and legal obligations.

Why a clear Redistribution Agreement matters

A well-drafted Redistribution Agreement reduces commercial risk by allocating rights, responsibilities, and remedies. It prevents disputes over channel use, pricing, and IP while preserving resale margins and brand controls.

Why a clear Redistribution Agreement matters

Who typically uses a Redistribution Agreement

Use parties include legal, sales operations, channel managers, procurement, and compliance teams drafting or reviewing commercial redistribution terms.

  • Manufacturers and brands that appoint regional or online resellers to expand market coverage and manage channel conflict.
  • Software vendors licensing copies or SaaS reselling rights to MSPs, VARs, and ISVs for bundled offerings.
  • Wholesalers and distributors who buy product rights and reissue under resale or private‑label arrangements.

Common mistakes to avoid when preparing a Redistribution Agreement

  • Using ambiguous territory language such as 'region' without a defined list of countries or states, which leads to channel conflicts and enforcement disputes.
  • Failing to specify permitted channels and marketplaces, allowing resellers to list on unauthorized platforms or use unauthorized sub‑distributors.
  • Omitting IP controls and brand usage rules, which can result in inconsistent marketing, trademark misuse, and dilution of the brand.
  • Not defining post‑termination rights for inventory or licensed copies, leaving parties uncertain about remaining stock, royalties, or continued sales.

Key risks and potential consequences of errors or omissions

Breach damages: Monetary liability
IP loss: Reputational harm
Tax exposure: Withholding or audits
Regulatory fines: Industry penalties
Contract disputes: Litigation costs
Supply disruption: Lost sales
