Late payments shall accrue interest at on the outstanding balance, compounded monthly, and the non-breaching party may suspend review services after days' written notice.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for 30 days following written notice of breach.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with the redline process, including draft contractual provisions, negotiation positions, business terms and pricing, whether disclosed orally, visually or in writing. Each recipient shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except to employees, advisors or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (c) use Confidential Information solely for the purpose of reviewing and finalizing the subject agreement.

Confidentiality obligations do not apply to information that: (i) is or becomes generally available to the public through no breach of this Agreement; (ii) was known to the recipient prior to disclosure without obligation of confidentiality; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by personnel of the recipient who did not have access to the Confidential Information. The obligations in this Section survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law. The parties acknowledge that monetary damages may be insufficient and that injunctive relief may be appropriate to prevent unauthorized disclosure.

Incorporation and Acceptance of Redlines

Proposed redlines shall be deemed submitted when delivered in writing to the designated contact (or via agreed collaboration platform). The receiving party shall review each redline in good faith and respond with acceptance, comment, or counter-proposal within days. Acceptance of redlines may be evidenced by a written instrument or by exchange of a final agreed document containing the incorporated changes.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Exclusive jurisdiction and venue for disputes arising under this Agreement shall lie in the courts located within that state, unless otherwise agreed in writing.

Entire Agreement; Amendment

This Agreement, together with any executed redlines or written amendments that the parties execute in accordance with the procedures set forth herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Each party represents that it has full corporate or organizational power and authority to enter into this Agreement and that the person executing this Agreement on its behalf is duly authorized. If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect. No waiver of any breach shall be effective unless in writing and signed by the waiving party.
