REFERRAL BUSINESS AGREEMENT

Recitals

WHEREAS, Client is engaged in the business of providing certain goods or services and desires to expand market opportunities by utilizing qualified referrals; and

WHEREAS, Referral Partner has relationships and access to prospective clients and is willing to refer such prospective clients to Client in exchange for the compensation set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which referrals will be made and compensated.

Scope of Work

Referral Partner shall identify and introduce prospective clients to Client. Referral Partner's duties shall be limited to presenting prospective leads, providing accurate contact information, and any mutually agreed preliminary information to permit Client to contact the prospective client. Referral Partner shall not bind Client to any contractual terms on Client's behalf.

Payment Terms

Client shall pay Referral Partner compensation only for referrals that result in a Completed Transaction between Client and the referred party. A "Completed Transaction" means Client's execution of a binding agreement for goods or services with a referred party and receipt by Client of the first payment required under such agreement.

Payment due within days of Client's receipt of payment from the referred client. Late payments shall incur a late fee of per month (or the maximum lawful rate) on the outstanding balance until paid in full.

Term and Termination

This Agreement shall commence on and shall continue in effect until , unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured after ten (10) days' written notice.

Termination shall not relieve Client of the obligation to pay Referral Partner for any Completed Transaction arising from referrals made prior to the effective date of termination, provided such Completed Transaction closes within ninety (90) days of the referral.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information, including but not limited to pricing, customer lists, business plans, trade secrets, and referral details (collectively, "Confidential Information") received from the other party (the "Disclosing Party"), except as necessary to perform under this Agreement or as required by law. Confidential Information does not include information that is or becomes generally available to the public other than by the Receiving Party's breach of this Agreement or that was in the Receiving Party's lawful possession prior to disclosure. The Receiving Party shall use at least the same standard of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Representations; Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement and perform its obligations. Referral Partner represents that it will not make any knowingly false statements to prospective clients about Client's services or pricing. Each party agrees to indemnify, defend and hold harmless the other party from any claims, liabilities, losses or expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law. Venue for any dispute arising hereunder shall be the state or federal courts located within that state.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement in connection with a merger or sale of substantially all of its assets.
