REFERRAL PARTNERSHIP AGREEMENT

This Referral Partnership Agreement (the Agreement) is entered into as of (the Effective Date), by and between Referring Party Name: , Entity Type: , Address: (\"Referrer\"), and Receiving Party Name: , Entity Type: , Address: (\"Recipient\").

RECITALS

WHEREAS, Referrer maintains relationships and access to potential clients, customers, or business opportunities that may be appropriate for Recipient's products or services; and

WHEREAS, Recipient seeks to obtain qualified referrals from Referrer on the terms and conditions set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to referrals and any fees payable in connection therewith.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 \"Referral\" means a prospective lead that meets the Qualification Criteria and that is introduced by Referrer to Recipient in accordance with this Agreement.

1.2 \"Qualified Referral\" means a Referral that: (a) satisfies the Qualification Criteria set forth in Section 3; (b) is not an existing contact or customer of Recipient as of the Effective Date; and (c) results in a Transaction within the Referral Period.

2. APPOINTMENT

2.1 Appointment. Recipient hereby appoints Referrer as a non-exclusive referral partner for the purpose of identifying and introducing potential customers to Recipient under the terms of this Agreement. Referrer accepts such appointment and agrees to perform its obligations as an independent contractor.

3. REFERRAL PROCESS; QUALIFICATION

3.1 Qualification Criteria. The parties agree that a Referral shall be considered qualified if it meets the following criteria:

4. FEES AND PAYMENT

4.1 Referral Fee. Recipient shall pay Referrer a referral fee equal to of the Net Revenue actually received by Recipient from the Qualified Referral (the Referral Fee). \"Net Revenue\" means gross amounts received by Recipient from the referred customer less discounts, returns, taxes, and transaction costs.

4.2 Payment Terms. Referral Fees shall be paid within days after Recipient's receipt of payment from the referred customer and upon issuance of an invoice by Referrer. Payment Method: .

4.3 Adjustment. If any amount received from a referred customer is subsequently refunded, charged back, or otherwise reversed, Recipient may deduct the Referral Fee attributable to such amounts from future payments to Referrer or require repayment.

5. TERM AND TERMINATION

5.1 Term. This Agreement shall commence on the Effective Date and continue for a period of , unless earlier terminated in accordance with this Section.

5.2 Termination for Convenience. Either party may terminate this Agreement for any reason upon providing days' prior written notice to the other party.

5.3 Termination for Cause. Either party may immediately terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice specifying the nature of the breach.

6. CONFIDENTIALITY

6.1 Confidential Information. Each party acknowledges that in the course of performance it may receive non-public, proprietary or confidential information of the other party (\"Confidential Information\"). Each party shall hold the other's Confidential Information in strict confidence and shall not disclose it to any third party except as necessary to perform under this Agreement or as required by law.

6.2 Exceptions. Confidential Information does not include information that is (a) publicly known through no breach of this Agreement; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the other party's Confidential Information.

7. INDEPENDENT CONTRACTOR

Referrer and Recipient are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Neither party shall have authority to bind the other except as expressly provided herein.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and performance of this Agreement will not violate applicable law, and that it will comply with all applicable laws and regulations in performing its obligations.

9. INDEMNIFICATION

Each party (the Indemnitor) shall indemnify, defend and hold harmless the other party (the Indemnitee) from and against any and all third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's gross negligence, willful misconduct or material breach of this Agreement.

10. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE TO REFERRER PURSUANT TO SECTION 4 DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may designate by written notice to the other party:

12.1 Amendment. This Agreement may not be amended except by a written instrument signed by both parties.

12.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right, and any waiver must be in writing.

12.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective as originals.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction chosen by the parties: , without regard to conflict of laws principles.

14. ENTIRE AGREEMENT

16.1 Taxes. Referrer shall be solely responsible for all taxes arising from Referral Fees, and Recipient shall not withhold taxes unless required by law.

16.2 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.

16.3 Publicity. Neither party shall use the other party's name, logo or trademarks for marketing or publicity without prior written consent.
