What the Referral Services Agreement Draft Is

Referral Services Agreement Draft is a contract template used when one business or professional refers clients, customers, or patients to another in exchange for fees, commissions, or reciprocal referrals. The draft defines parties, referral scope, compensation formula, payment timing, confidentiality, permitted marketing, duration, and termination conditions. It also addresses compliance with applicable laws, data privacy, and any industry-specific regulations. Use this draft to document expectations, reduce disputes, and provide a record for accounting and tax reporting. Customize provisions to reflect the referral relationship and governing state law.

Why a Written Draft Matters for Enforceability and Risk Reduction

A Referral Services Agreement Draft clarifies payment terms, client ownership, and compliance obligations, reducing disputes and audit risk. When executed with intent and consent it is enforceable under the ESIGN Act (15 U.S.C. §7001) and UETA where adopted.

Why a Written Draft Matters for Enforceability and Risk Reduction

Who Typically Uses This Draft

Typical users include small businesses, independent professionals, and referral partners who need written terms for commission-based introductions.

  • Real estate brokers referring buyers or tenants for commission split agreements.
  • Healthcare providers arranging patient referrals that require HIPAA-compliant consent and fee disclosures.
  • Software vendors and consultants who receive lead fees or revenue-share payments for introductions.

Use the draft to align responsibilities, protect regulated data, and set payment and termination mechanics before referrals begin.

Core Sections to Include in the Draft

Core sections ensure clarity on parties, compensation, confidentiality, compliance, term, and termination, forming a defensible record for business, tax, and regulatory review.

Parties

Identify the referring and receiving parties by full legal name, business entity type, and contact details. Include a designated representative and address for notices to avoid later disputes and ensure proper service.

Scope

Define services or client types covered, geographic limits, excluded referrals, and any prequalification criteria. Clear scope prevents misunderstandings about what activities generate compensation and how cross-referrals are handled.

Compensation

Specify fee calculations, timing of payments, invoicing requirements, responsibility for taxes, and whether compensation survives termination for deals introduced during the term, and procedure for disputed amounts and offsets.

Confidentiality

Include nondisclosure provisions protecting client lists, referral sources, and compensation terms. Limit use of shared information to performance of the referral arrangement and require secure handling.

Compliance

Require compliance with applicable laws such as ESIGN, UETA, HIPAA when handling PHI, and data privacy rules; include obligations for permits or licensing if required by industry.

Term & Termination

State the agreement term, renewal mechanics, termination for cause or convenience, notice periods, and post-termination obligations including final accounting and return of confidential data and surviving clauses.

Common Pitfalls to Avoid

  • Failing to define referral scope leads to disputes over which introductions qualify, causing delayed payments and potential litigation among partners.
  • Using vague compensation language such as 'reasonable fee' invites differing interpretations and increases risk of audit, misreporting to tax authorities, and withheld payments.
  • Ignoring privacy and HIPAA requirements when referrals involve PHI exposes parties to regulatory penalties and may require execution of business associate agreements.
  • Not specifying termination effects on pending introductions can create disputes over commissions for deals in negotiation at time of termination.

Penalties and Legal Risks to Include in Risk Assessment

Tax Penalties: IRC §6721 fines for late 1099s
Backup Withholding: 24% withholding rate
I-9 Violations: Form retention fines $281–$2,789
HIPAA Breach: 6-year record retention; penalties apply
Contract Disputes: Damages and attorney fees possible
Fraud Risk: Intentional misreporting carries higher fines

Practical Best Practices to Reduce Risk

Practical tips reduce disputes, improve compliance, and simplify accounting for referral fees across industries and jurisdictions.

Precisely define which referrals qualify
List specific client attributes, excluded categories, time windows, and sales stages that trigger payment. Include examples and a process for documenting when a referral converts to a billable client to prevent disagreements.
Specify payment timing and dispute resolution procedures
Set invoicing cadence, net terms, and methods of calculation. Require written disputes within a defined window and provide an escalation path. Define recovery of overpayments, offsets, and interest on late payments to limit financial exposure.
Include confidentiality and data handling rules
Specify permitted uses of contacts and referral data, require minimum security standards, and include obligations for data deletion or return after termination. When PHI may be shared, require a signed BAA and HIPAA-compliant processes.
Use clear authority and signing obligations
Identify who may bind each party, require corporate resolutions for entities where necessary, and specify whether electronic signatures are acceptable. Require printed name, title, and date beside each signature to aid attribution and enforcement.

Who Should Sign and Why

Authorized Officer

An authorized officer or general manager may sign on behalf of a corporation or LLC if the corporate bylaws or operating agreement grant signing authority. Attach evidence of authorization, such as a board resolution or officer delegation document, when required.

Individual Partner

A sole proprietor or individual partner should sign using their full legal name and include business name if different. Ensure signatures are attributed properly and that any agent signing has written proxy or power of attorney evidence attached for validation.
