What a Refinance Agreement for Real Estate Is

A Refinance Agreement for Real Estate is a written contract that documents the terms under which an existing mortgage is replaced or modified by a new loan secured by the same property. It defines parties, loan amount, interest rate, repayment schedule, payoff instructions for the existing mortgage, and any costs or credits. The agreement is used by borrowers, lenders, title companies, and closing agents to record obligations, authorize payoffs, and trigger recording with the county recorder to ensure the new lien is legally effective and prioritized.

Why a Clear Refinance Agreement Matters

A well-drafted refinance agreement reduces ambiguity at closing, protects lender and borrower rights, and speeds recording and payoff processing. It aligns expectations for costs, timing, and post-closing obligations while creating an evidentiary record for title and lien priority.

Why a Clear Refinance Agreement Matters

Who Typically Prepares and Signs This Agreement

Multiple parties interact with a refinance agreement during origination and closing, each with distinct responsibilities.

  • Borrower(s): Homeowner or trust beneficiary who must provide identity, income, and property information and consent to new loan terms.
  • Lender / Mortgage Servicer: Provides payoff instructions, loan terms, and funding, and requests recording of the new mortgage.
  • Title Company / Closing Agent: Prepares closing package, obtains payoff statements, coordinates recording and lien releases.

Each party should verify authority, identity, and signatures before recording to avoid delays or challenges to lien priority.

Representative Signing Roles

Lender Counsel

General counsel or closing attorney for the lender who reviews payoff language and ensures the mortgage and promissory note reflect agreed terms. They coordinate title endorsements and confirm recording requirements with the title company; their review reduces post-closing title defects.

Borrower / Trustee

Individual borrower or trustee authorized to sign on behalf of a trust or entity. They must present ID, confirm loan terms, and sign required affidavits; mismatched names or missing authority can void parts of the transaction and delay recording.

Security and Compliance Essentials

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encrypted storage
Audit Trail: Time-stamped signing records
HIPAA BAA: BAA available when required
Authentication: Multi-factor options supported
Regulatory: ESIGN and UETA compliant

Key Sections to Include in a Professional Refinance Agreement

A complete refinance agreement combines loan economics, payment mechanics, payoff language, security description, and default remedies. Each section should be clear, consistent with lender disclosures, and aligned with the promissory note and deed of trust.

Parties

Full legal names and capacities (individual, trustee, corporate officer). Include entity identifiers and authorized signers to avoid authority disputes at closing.

Property Description

Full legal description and parcel ID; street address is supplemental. The description must exactly match the recorded deed to ensure proper lien placement.

Loan Terms

Principal, interest rate, amortization, payment schedule, prepayment terms, and fees. Cross-reference the promissory note and APR disclosures for consumer transactions.

Payoff Instructions

Specify the existing lender's payoff amount, date, and wiring/escrow instructions required to satisfy the prior mortgage at closing.

Representations & Warranties

Statements about ownership, liens, authority to sign, and absence of undisclosed encumbrances to protect the lender and support title insurance.

Default & Remedies

Events of default, cure periods, acceleration rights, and foreclosure procedures. Ensure consistency with state law governing mortgage enforcement.

Step-by-Step: Completing a Refinance Agreement

Follow these sequential actions to prepare and finalize a refinance agreement efficiently and reduce closing risks.

  • 01
    1. Collect Documents: Gather deed, payoff, title report and IDs.
  • 02
    2. Draft Agreement: Populate parties, property, loan terms, and payoff.
  • 03
    3. Review and Approve: Lender, borrower, and title review for consistency.
  • 04
    4. Sign and Record: Execute, notarize if required, and submit to recorder.

How to Configure an Online Refinance Workflow

Setting up the digital workflow ensures required fields, signer order, and authentication match lender and county requirements.

Field Configuration
Authentication Level Email + SMS code or ID verification
Signing Order Set borrower then lender then closing agent
Conditional Fields Show payoff field only when prior mortgage exists
Retention Policy Save completed packet for required retention

Delivery and Platform Considerations

Choose a platform that supports required formats, integrations, and authentication for refinance closings.

  • File Formats: PDF and DOCX supported
  • Integrations: Works with title and loan systems
  • Authentication: Supports MFA and KBA

Use systems that capture a tamper-evident audit trail and preserve the signed record in an immutable format for recording, title insurance, and regulatory retention.

Where to Send the Completed Refinance Agreement

Routing the executed agreement promptly ensures timely payoff, recording, and lien priority on the subject property.

  • Lender Funding Desk: Submit executed payoff and funding instructions to lender
  • Title Company: Deliver signed packet for recording and endorsement
  • County Recorder: Record deed of trust or mortgage to perfect lien
  • Borrower Copy: Provide final executed copy to borrower and servicer

Common Timelines and Deadlines for Refinance Transactions

Typical refinance closings follow a predictable timeline; certain deadlines are legally sensitive and require precise handling.

Lock and Rate Expiration:

Fixed by lender; typically 30–60 days before rate re-pricing

Payoff Effective Date:

Date when prior lender receives funds and releases lien

Recording Window:

Record within lender-determined timeframe, often within 7–15 days post-closing

Escrow Funding:

Funding occurs after title clearance and recording instructions received

Rescission Rights:

Home equity refinancing may trigger a borrower rescission window per federal law

Common Errors to Avoid When Preparing a Refinance Agreement

  • Using an incorrect legal description that does not match the recorded deed and causes recording rejection.
  • Failing to verify signer authority for trusts and entities, leading to post-closing corrective affidavits.
  • Omitting payoff or wiring instructions and causing delayed payoff or additional interest charges.
  • Neglecting to capture a verifiable audit trail for electronic signatures required by lenders or title underwriters.

Penalties and Risks of an Incorrect Agreement

Recording Rejection: Delays lien perfection
Title Defect: Increased closing costs
Foreclosure Exposure: Enforcement risk on unpaid amounts
Tax Consequences: Reporting or withholding issues
Regulatory Fines: Consumer finance violations possible
Litigation: Costs to cure defects

Practical Tips for Accurate and Efficient Completion

These operational practices reduce rework, recording delays, and costs when preparing refinance agreements.

Pre-verify Legal Names
Confirm borrower and title names match recorded deed and government ID to prevent corrective affidavits or re-recording fees.
Obtain Current Payoff
Request a payoff statement within a narrow window before closing to avoid interest shortfalls and adjust funding amounts accordingly.
Use Standard Templates
Standardized language for payoff and reconveyance reduces lender underwriting exceptions and speeds title endorsements.
Preserve Audit Trails
Capture signer identity, timestamps, IP, and notarization records for evidence in disputes and to comply with ESIGN/UETA standards.
